and such access and rights shall be in force and effect during the period of the contract and for six (6) years after its termination or cancellation. 8.5 Contract Administration In order to coordinate the services of SUBSCRIBER with the activities of COUNTY so as to accomplish the purposes of this contract, shall manage this contract on behalf of SUBSCRIBER and serve as liaison between COUNTY and SUBSCRIBER. 8.6 Notices Any notice or demand which must be given or made by a party hereto under the terms of this Agreement or any statute or ordinance shall be in writing, and shall be sent registered or certified mail. Notices to COUNTY and to SUBSCRIBER shall be sent to the addresses stated below: To COUNTY: County Manager Suite 250 City HalUCourthouse 15 West Kellogg Boulevard St. Paul, Minnesota 55102 To SUBSCRIBER: . 8.7 Minnesota Laws Govern The Laws of the State of Minnesota shall govern all questions and interpretations concerning the validity and construction of this contract and the legal relations between the herein parties and performance under it. The appropriate venue and jurisdiction for any litigation hereunder will be those courts located within the County of Ramsey, State of Minnesota. Litigation, however, in the federal courts involving the herein parties will be in the appropriate federal court within the State of Minnesota. If any provision of this contract is held invalid, illegal or unenforceable, the remaining provisions will not be affected. 8.8 Mediation COUNTY and SUBSCRIBER agree to submit all claims, disputes and other matters in question between the parties arising out of or relating to this Agreement to mediation. The mediation shall be conducted through the Mediation Center, 1821 University Avenue, St. Paul, Minnesota. The parties hereto shall decide whether mediation shall be binding or non-binding. If the parties cannot reach agreement mediation shall be non-binding. In the event mediation is unsuccessful, either party may exercise its legal or equitable remedies and may commence such action prior to the expiration of the applicable statute of limitations.
