determined in the eminent domain proceedings to the owners of the Shopping Center Parcel and <br />Snelling Avenue Parcel; (2) any payment to any owner or tenant for loss of going concern value; <br />(3) any payment for fixtures; (4) relocation benefits paid to an owner or tenant pursuant to Minn. <br />Stat. Ch. 117, the Federal Uniform Relocation Assistance Act, or any other state or federal <br />statute or regulation; (5) costs incurred by the City in providing relocation services; (6) all <br />appraisal costs; (7) reasonable legal fees incurred by the City in any aspect of either the eminent <br />domain proceeding or relocation benefit process; (8) appraisal, relocation and other expert <br />witness fees and costs, and any other reasonable litigation expenses incurred in connection with <br />the eminent domain proceedings or relocation benefit process. <br />"Act" means Minnesota Statutes. Sections 469.124-469.134, as amended. <br />"Agreement" means this Agreement, as the same may be from time to time modified, <br />amended, or supplemented. <br />"Business Subsidy Agreement" means the agreement in the form attached hereto as <br />Schedule E executed by the City and the Multifamily Developer pursuant to Section 10.8 of this <br />Agreement. <br />"Certificate of Completion" means the certificate in substantially the form attached hereto <br />as Schedule F signed by the City certifying completion of the Minimum Improvements. <br />"City" means the City of Falcon Heights, a Minnesota municipal corporation, or its <br />successors or assigns. <br />"Closing Date" means the closing date of the First Mortgage Loan. <br />"Commercial Component" means that portion of the Minimum Improvements consisting <br />of approximately 12,000 square feet of retail space. <br />"Construction Development Contract" means the Development Contract to be entered <br />into between the City and the Developers, and mutually agreeable to the City and the <br />Developers, regarding platting, public improvements and other matters relating to the <br />redevelopment of the Town Square Site. <br />"Construction Plans" means the site plan, utility plan, grading and drainage plan, <br />landscape plan, elevations drawings, materials list and related documents on the construction <br />work to be performed by the Multifamily Developer on the Multifamily Development Property, <br />or in the public right of way as may be required by the City in its approval process, and which <br />will be submitted to and approved by the City Council of the City, together with any conditions <br />imposed by the City Council in connection with its approval. <br />"Completion Date" means the date a Certificate of Completion with respect to the <br />Minimum Improvements is delivered. <br />"County" means Ramsey County, Minnesota. <br />L <br />
