A majority of all active members in <br />good standing of the Association constitute quorums of the transaction of business at <br />annual, regular, and special meetings. <br />Section 4.6. Quorum at Board of Trustee Meetings. A majority of members of the Board <br />of Trustees shall constitute a quorum for the transaction of business at meetings. <br />Section 4.7. Location of Board Meetings. A meeting of the Board of Trustees shall be <br />held at the registered office of the Association in the City of Falcon Heights unless <br />noticed of another place within the state as designated by the Board. <br />Section 4.8. Notice. Subject to waiver, a notice of every meeting shall be sent or <br />delivered by the Secretary to each trustee including ex-officio trustees, at least five (5), <br />but not more than thirty (30) days, before the meeting, excluding the date of the meeting. <br />Such notice shall set forth the date, time, place, and in case of a special meeting, the <br />• purpose. <br />Section 4.9. Open Meeting Law. The association is governed by Minn. Stat. § 13D.01 <br />which requires that all meetings of the association be open to the public with rare <br />exceptions. All notices provided for by this association shall comply with Minn. Stat. <br />§ 13D.04 which requires at a minimum that: <br />1. A schedule of regular meetings be kept on file at the association offices <br />and, <br />2. For special meetings, a notice will be placed on the door of the meeting <br />room, as the association has no principal location and no bulletin board <br />in which to alert the public. <br />Article V -Officers <br />Section 5.1. President. It shall be the duty of the President to attend and preside at all <br />meeting of this Association and the Board of Trustees. The President shall enforce the <br />due observance of Minnesota State Statutes, the Articles of Incorporation and the Bylaws <br />and see that officers properly perform the duties assigned to them. The president shall <br />sign all checks issued by the Treasurer and all other papers requiring the President's <br />signature.
