GZ <br />Operations Committee determines by a 2/3 vote of the other members that the Party represented <br />by that member is not in compliance with this Agreement. <br />V. MEETING <br />5.1 The members of the Operations Committee will conduct an organizational <br />meeting no later than 30 days after this Agreement is approved and executed by the initial <br />Parties. At the organizational meeting or as soon thereafter as is reasonably possible, the <br />members will elect officers and adopt such by-laws and other procedures governing the conduct <br />of its meetings as it deems appropriate. <br />5.2 The Operations Committee will conduct an annual meeting at the date and place <br />specified in its by-laws to elect officers and to undertake such other business as may properly <br />come before it. The Operations Committee may provide for a schedule of regular meetings. <br />• 5.3 A special meeting of the Operations Committee may be called by the president or <br />by the secretary-treasurer upon written request of such number of members of the Operations <br />Committee as is specified in the by-laws. Notice of a special meeting must be mailed to <br />members no fewer than five days prior to the special meeting. Business at a special meeting is <br />limited to matters contained in the notice of the special meeting. <br />VI.OFFICERS <br />6.1 The officers of the Operations Committee will be a president and a secretary- <br />treasurer elected for a term of one year by the members at the organizational meeting and at the <br />annual meeting. The Operations Committee may designate members to act as officers in the <br />absence of any officer. <br />6.2 The president will preside at meetings of the Operations Committee.
