• In the event of termination by the Employer, or if any of the following occur, the <br />Employer shall pay severance pay, subject to withholding taxes, in a lump sum cash <br />payment equal to four months' salary and provide and pay for general insurance <br />benefits set forth in paragraph 9 for a period of four months following termination: <br />a. Employee resigns as a result of a reduction in salary or other financial benefits of <br />the Employee in a greater percentage than any across the board reduction for all <br />City employees. <br />b. Employee resigns as a result of the Employer's refusal, following written notice <br />by the Employee, to comply with any other provision of this Agreement. <br />c. Employee resigns following a formal suggestion by the City that she resign. <br />In the event of termination by the Employer for the following reasons, the Employer <br />shall have no obligation to pay severance pay: <br />d. Employee's termination is either because she is unwilling or unable to continue <br />to perform the duties of the City Administrator. <br />e. Employee's termination is because of her dishonesty or theft of the City's <br />property. <br />Employee's termination is because of her commission of a crime or other act <br />which would materially damage the reputation of the City.. <br />If Employee voluntarily resigns her position with Employer, Employee agrees to give the <br />Employer forty-five (45) days advance notice. If Employee voluntarily resigns her <br />position with Employer, there shall be no severance pay due to the Employee. <br />17. GENERAL CONDITIONS OF EMPLOYMENT. Nothing in the Agreement shall <br />prevent, limit or otherwise interfere with the right of Employer to terminate the services <br />of Employee at any time, for any reason, subject only to the provisions of the <br />Agreement and statutory requirements. Furthermore, nothing in the Agreement shall <br />prevent, limit or otherwise interfere with the right of Employee to resign at any time <br />from her position with Employer, subject only to the provisions of the Agreement. <br />18. GENERAL PROVISIONS. If any provision, or any portion thereof, contained in <br />this Agreement is held to be unconstitutional, invalid, or unenforceable, the remainder <br />of this Agreement, or portion thereof, shall be deemed severable, shall not be affected, <br />and shall remain in full force and effect. <br /> <br />40 <br />
