IT’S WHAT WE DO. 3 of 43 Presale Report City of Falcon Heights, Minnesota February 24, 2021 Page 1 Proposed Issue: $690,000 General Obligation Improvement Bonds, Series 2021A Purpose: The proposed issue is to finance with other available funds, the construction of various street and sewer system improvements in the City. Debt service will be paid from special assessments and taxes. Authority: The Bonds are being issued pursuant to Minnesota Statutes, Chapters:  475 (general bonding authority)  429 (special assessment pledge) Because the City is assessing at least 20% of the project costs, the Bonds can be a general obligation without a referendum and will not count against the City’s debt limit. The Bonds will be general obligations of the City for which its full faith, credit and taxing powers are pledged. Term/Call Feature: The Bonds are being issued for a term of 5 years. Principal on the Bonds will be due on February 1 in the years 2023 through 2027. Interest is payable every six months beginning February 1, 2022. A portion of the Bond proceeds will be used to make the February 1, 2022 interest payment. The Bonds are being offered without option of prior redemption. Bank Qualification: Because the City is expecting to issue no more than $10,000,000 in tax exempt debt during the calendar year, the City will be able to designate the Bonds as “bank qualified” obligations. Bank qualified status broadens the market for the Bonds, which can result in lower interest rates. Rating: We recommend selling this issue non-rated as the cost of the rating would not be expected to be offset by the potential lower interest rates resulting from obtaining a rating. For a larger bond issue, or a longer-term bond issue, a rating might broaden the market for the Bonds and result in an overall reduction in interest costs. EXECUTIVE SUMMARY OF PROPOSED DEBT 4 of 43 Presale Report City of Falcon Heights, Minnesota February 24, 2021 Page 2 Basis for Recommendation: Based on our knowledge of your situation, your objectives communicated to us, our advisory relationship as well as characteristics of various municipal financing options, we are recommending the issuance of general obligation bonds as a suitable financing option for the following reasons:  The City’s policy and past practice has been to finance improvement projects with this type of debt issue.  This is a cost-effective option among the limited other options available to finance these types of projects.  General obligation bonds provide the lowest possible interest cost.  The expectation that this form of financing will also meet the City’s objectives for term, structure, and optional redemption.  The method of sale process identified herein complies with City policy as well as best practices endorsed by the Government Finance Officers Association (GFOA). Other Considerations: We reviewed the following bond sale options with you: 1. Competitive Sale with rating. 2. Competitive Sale without rating. 3. Local Bank Solicitation without rating. Given the small size and short term of this issue, the overall debt service and tax levy required for each option is very similar. We are presenting a non-rated competitive sale as the best fit for the City because it will still allow bids from both local banks and the public market; while saving the extra time and money needed to obtain a bond rating. Method of Sale/Placement: We will solicit competitive bids for the purchase of the Bonds from underwriters and banks. We will include an allowance for discount bidding in the terms of the issue. The discount is treated as an interest item and provides the underwriter with all or a portion of their compensation in the transaction. If the Bonds are purchased at a price greater than the minimum bid amount (maximum discount), the unused allowance may be used to reduce your borrowing amount. Premium Pricing: In some cases, investors in municipal bonds prefer “premium” pricing structures. A premium is achieved when the coupon for any maturity (the interest rate paid by the issuer) exceeds the yield to the investor, resulting in a price paid that is greater than the face value of the bonds. The sum of the amounts paid more than face value is considered “reoffering premium.” The underwriter of the bonds will retain a portion of this reoffering premium as their compensation (or “discount”) but will pay the remainder of the premium to the City. 5 of 43 Presale Report City of Falcon Heights, Minnesota February 24, 2021 Page 3 For this issue of Bonds, we have been directed to use the net premium to reduce the size of the issue rather than increase the net proceeds for the project; but that could change on the day of sale. The resulting adjustments may slightly change the true interest cost of the issue, either up or down. Review of Existing Debt: We have reviewed all outstanding indebtedness for the City and find that there are no refunding opportunities at this time. We will continue to monitor the market and the call dates for the City’s outstanding debt and will alert you to any future refunding opportunities. Continuing Disclosure: Because the amount of the Bonds to be issued is less than $1,000,000, this issue could be exempt from the Continuing Disclosure requirements of the Securities and Exchange Commission (SEC); however, some underwriters require limited disclosure as one of the parameters for bidding, we recommend that the City provide for the limited disclosure by agreeing to provide its Audited Financial Statements annually as well as providing notices of the occurrence of certain reportable events to the Municipal Securities Rulemaking Board (the “MSRB”). The City is already obligated to provide such reports for its existing bonds and has contracted with Ehlers to prepare and file the reports. Arbitrage Monitoring: The City must ensure compliance with certain sections of the Internal Revenue Code and Treasury Regulations (“Arbitrage Rules”) throughout the life of the issue to maintain the tax- exempt status of the Bonds. These Arbitrage Rules apply to amounts held in construction, escrow, reserve, debt service account(s), etc., along with related investment income on each fund/account. The City’s specific arbitrage responsibilities will be detailed in the Non-arbitrage Certificate prepared by your Bond Attorney and provided at closing. Small Issuer Exception ($5M or less) – The City expects to qualify for the small issuer exception to arbitrage rebate on the Bonds. Investment of Bond Proceeds: To maximize interest earnings, we recommend the City develop a strategy to invest the Bond proceeds until the funds are needed to pay project costs. Risk Factors: Special Assessments: We have not assumed any pre-paid special assessments and we have assumed that assessments will be levied as projected. If the City receives a significant amount of pre-paid assessments or does not levy the assessments, it may need to increase the levy portion of the debt service to make up for lower interest earnings than the expected assessment interest rate. 6 of 43 Presale Report City of Falcon Heights, Minnesota February 24, 2021 Page 4 GO Pledge: Because the Bonds will be general obligations of the City for which its full faith, credit and taxing powers are pledged, if the annual special assessments and tax levy collected are not sufficient to pay the debt service payments, other City funds will need to be used. Other Service Providers: This debt issuance will require the engagement of other public finance service providers. This section identifies those other service providers, so Ehlers can coordinate their engagement on your behalf. Where you have previously used a particular firm to provide a service, we have assumed that you will continue that relationship. Fees charged by these service providers will be paid from proceeds of the obligation, unless you notify us that you wish to pay them from other sources. Our pre-sale bond sizing includes a good faith estimate of these fees, but the final fees may vary. If you have any questions pertaining to the identified service providers or their role, or if you would like to use a different service provider for any of the listed services please contact us. Saint Paul Regional Water Services We are here tonight to discuss upcoming projects at the McCarron Treatment Plant. This is the only facility serving the St. Paul Metropolitan Area. Much of the infrastructure is nearing 100 years in age, but the facility still produces excellent water quality. We’re taking a proactive approach to infrastructure to improve reliability and take advantage of current interest rates. The project scope will involve replacement of about 2/3 of the total treatment process. The project would reduce the site footprint by using new, equivalent technology that involves ozone as part of the treatment process. The financial impacts of the project will increase approximately 25% over the duration of the project. Rates remain below average nationally when compared to similarly sized drinking water providers, with cost remaining less than a penny per gallon of water. Resignation of Susan Risher from the Parks and Recreation Commission Motion to approve the consent agenda by Council Member Leehy. Approved, 5-0. G: POLICY ITEMS: 1. 2021 Pavement Management Project (PMP) – Award Contract Jesse Freihammer, City Engineer We received 10 bids on the project and the low bid was submitted by Molnau Trucking for $965,222.53. Overall, based on the feasibility the overall project cost should be about 13% less than budgeted. Construction would likely begin in late April or early May. Completion is scheduled before the State Fair. Staff recommends awarding the 2021 Pavement Management Project (PMP) to Molnau Trucking LLC of Norwood Young America in the amount of $964,222.53 and approve the attached resolution authorizing the City Administrator and Mayor to execute all necessary documents. Sack Thongvanh We will be bringing a request for authorization of bond sales to a future Council meeting. Mayor Gustafson Overall, the cost to the resident in assessments will be down about 8 percent so the project won’t have as large an impact on our reserves. Motion to approve Resolution 21-08 and authorizing the City Administrator and Mayor to execute all necessary documents by Council Member Miazga. Approved, 5-0. 2. Amendment to the Falcon Heights Tax Increment Financing (TIF) Policy Administrator Thongvanh This is a proposed resolution amending the TIF fee and policy. The change includes a $10,000 escrow that would finance the contract and legal services involved in the TIF request. The application fee is $5,000 and is non-refundable. Staff recommend approval. INFORMATION/ANNOUNCEMENTS: Council Member Wehyee • There was discussion about electric vehicles as well as communication and outreach on some of the environmental initiatives underway. This could involve some partnership with the Community Engagement Commission in the future. Council Member Leehy • The Philando Castile Community Peace Garden Committee has been in conversations with the State Fair Grounds because it is located on State Fair property. The dialogue has been favorable, there should be additional information in the coming months as plans are finalized with the architects. Council Member Andrews • I would like to compliment Administrator Thongvanh on the article about him in the Hamline University Newsroom “Using Public Administration for Good: Sack Thongvanh MPA ‘06” which can be viewed at: https://www.hamline.edu/news/2/2021/sack-thongvanh-mpa/ . Mayor Gustafson • We have openings on our city commissions, I would encourage residents to think about becoming involved. • I will be filming a video to share with the community on Friday about various topics in the City including public safety, streets, parks and affordable housing. Administrator Thongvanh • Staff and I continue to move forward with the Amber Union project. • The Community Park has sustained another interior water break. We may be unable to flood the rink for the duration of the year. One thing that is an item for the Parks & Recreation Commission to review is a new park building, which would include a permanent rink structure that could allow staff to flood the rink earlier in the year. If the City was to invest significant dollars in renovation or reconstruction of the building, we would need commitment from the University to guarantee a long-term lease of the park land, as the land is owned by the University. • Staff are continuing to roll out the logo and are researching the cost of implementation. We’ll probably do a monthly update with the mayor as he mentioned and I asked staff to research production equipment and software so that we can produce videos more often. • The Council retreat will be via Zoom in March and can be flexible based on your availability. • Nine North does a podcast and it might be an opportunity for Council and commission members to talk about the work being done. The City Council directed staff to conduct a short survey to see if community members would support the concept of providing an honorary naming of Larpenteur Avenue as Philando Castile Memorial Avenue. The signage would be posted from Fulham Street to Fry Street. Survey results were presented to the City Council during the February 3, 2021 Workshop. Staff was directed to include the agenda item for the February 24th City Council Meeting for action. Budget Impact The estimated to be $600 to $1,500. This will dependent on if the City will be allowed to install a similar signage as the County on the intersection of Fairview Ave and Cleveland Ave. Standard signage size of 48” x 9” would cost about $600.
