SPECIAL MEETING, MONDAY, MAY 27, 1957
Meeting called to order at 8:00 P.M., the following council members being present:
William R. Utecht, Mayor; George J. Shavor, Trustee; Harold C. Nilsen, Trustee;
Willis Warkentien, Trustee; Clyde J. Stewart, Clerk. Also present: William E. Olsen,
Treasurer; Frank N. Graham, Attorney' and B.B. Knopp.
Mr. B.B. Knopp, Manager of the municipal bond department of the First National Bank,
of Saint Paul, discussed the situation of the municipal bond market at the present
time and the various provisions which would have to be considered by the Village in
connection with the issuance of bonds to finance the Sanitary Sewer System Improvement
No. 1. -
After discussion, Trustee Nilsen moved the adoption of the following resolution:
RESOLUTION FOR ISSUANCE
OF
IMPROVEMEN T BONDS
WHEREAS, contracts have been entered into for the construction
of Sanitary Sewer System Improvement No. 1 at a contract price of
X692,858.65 and additional expenses of ~207,1lt1.35, covering the
St Paul connection charge, engineering, inspection, legal costs and
contingencies, have been or will be incurred in connection with the
improvement, making a total cost of Sanitary Sewer System Improvement
No. 1 of X900,000, and of this cost, the Village will pay X280,000 as
its share of the cost and X620,000 will be specially assessed against
property benefited thereby.
NOW THEREFORE, BE IT RESOLVED by the Village Council of the
Village of Falcon Heights, Minnesota;
1. The improvement hereinabove described shall be financed by the
issuance of improvement bonds pledging the full faith and credit
of the Village and shall be hereafter referred to as Sanitary
Sewer System Improvement No. 1. A separate improvement fund is
hereby established for such improvement and shall be called
Sanitary Sewer System Improvement No. 1 Fund. The proceeds from
the sale of improvement bonds herein. provided for and from
collections of special assessments and taxes levied for the
improvement and any other moneys appropriated thereto by the
Village shall be paid to such fund and it shall be used solely
to defray expenses ~f the improvement and payment of principal
and interest due upon the obligations until completion and
payment of all costs of the improvement.
2. Improvement bonds on account of Sanitary Sewer System Improvement
No. 1 shall be issued in the total amount of X900,000, said bonds
to be 900 in number and numbered from 1 to 900, both inclusive and
in the denomination of 461,000-each, shall bear date July 1, 1957,
shall bear interest at the rate designated by the successful bidder,
payable July 1, 1958 and semi-ahinually thereafter. on the lst day
of January and the lst day of July in each year and shall mature
serially, $615,000 on January 1, 1959 and ~Lt5,000 on each January 1
thereafter to and including January 1, 1978.

3. Bonds maturing from 1969 to 1978 shall be callable on any
interest payment date commencing January 1, 1968 at the ~~tion
of the Village in inverse order of serial numbers at par.;: and
accrued interest with a pre:airan of $15.00 per bond called on or
before July 1, 1972.
1~. The improvement bonds shall be payable at any suitable banking
institution or trust company designated by the purchaser and
the reasonable charges of the paying agent shall be paid by the
agent out of the improvement fund.
5. The bonds shall be prepared under the direction of the Villag e
Clerk and the Village Attorney and shall be executed on behalf
of the Village by the Mayor and Village Clerk and the corporate
seal of the Village shall be affixed thereto and the interest
coupons shall be executed and authenticated by the printed,
engraved or lithographed facsimile signatures of said officers.
6. A speciall meeting of this Council is hereby set for 7:30 P.M.,
daylight saving time on Tuesday, June 25, 1957, at the Village
Hall, 16ltlt W. Larpenteur Avenue, Falcon Heights, Minnesota, at
which sealed bids for the purchase of said bonds will be received
and considered by the Council.
7. The Village Clerk is hereby instructed to advertise for bids for
the purchase of such bonds. The advertisement shall be in
substantially the follcAring form and shall be pu$lished twice in
the Commercial West on June 8th and 15th, 1957, and. twice in the
Rose Tribune on June 6th and 13th, 1957.

"NOTICE IS HEREBY GIVEN that the Village Council of the Village of
Falcon Heights, Ramsey County, Minnesota, will meet at the Village Hall in said
Village, 16ltlt W. Larpenteur Avenue, at 7:30 P.M., daylight saving time, on Tuesday
the 25th day of June, 1957, to receive, open and consider sealed bids for, and award
the sale of, $900,000 Sanitary Sewer System Improvement No. 1 negotiable, coupon,
general obligation bonds of the Village of Falcon Heights, Ramsey County, Minnesota,
to finance expenses incurred and to be incurred in the construction of a sanitary
sewer system for the Village, under Chapter 129 of the Minnesota Statutes, such
construction having heretofore been designated Sanitary Sewer System Improvement No. 1.
Said bonds will be dated July 1, 1957, each in the denomination of X1,000 bearing
interest at the rate or rates to be designated by the successful bidder expressed
in integral multiples of 1/11th or 1/10th of l~ per annum, payable July 1, 1958 and
semi-annually thereafter on January 1 and July 1 of each year, and will mature
serially, ~lt5,000 on January 1, 1959 and ~6~.5,000 on each January 1 thereafter to
and including January 1, 1978,

"The bonds maturing in the years 1959 through 1968 will not be subject
to redemption prior to maturity but the remaining bonds maturing in the years from
19b9 to 1978 will each be sub3ect to redemption at the option of the Village on
January 1, 1968, and any interest payment date thereafter, in inverse order of
their serial numbers at a price of par .and accxeued interest and a premium of X15.00
for each bond prepaid on or before July 1, 1972, after which date all remaining
bonds may be redeemed, at the option of the Village, at a price of par'and accrued
interest for each bond redeemed.
"The principal and interesto.may be made payable at any suitable banking
institution named by the purchaser. The Village will furnish without cost to the
purchaser and within !~0 days after award of sale, the printed and executed bonds and
the approving legal opinion of Messrs. Briggs, Gilbert, Morton, Kyle and Macartney,
together with the customary non-litigation certificate.
"The bonds will be delivered anywhere in the State of Minnesota or at
Chicago, Illinois without cost to the purchaser or elsewhere at purchaser's expense.
"Sealed bids., marked 'Bid for X900,000 Sanitary Sewer System Improvement
No. 1 Bonds' may be mailed or otherwise delivered to the undersigned Village Clerk,
at his home at 1lt32 California Avenue W., Falcon Heights, Minnesota, and must be
received prior to the time of said meeting. Each bid must be unconditional and
must be accompanied by a cashier's or certified check or bank draft in an amount not
less than X18,000, payable to 'Village Treasurer, Village of Falcon Heights, Minnesota,'
to be retained by the Village as liquidated damages in case the bid is accepted and
the bidder shall fail to comply therewith.
"Bidders must state the desired interest rate, or not to exceed fine
different rates, each in an integral multiple of 1/I~th or 1/10th of 1~ per annum,
the. rate to be uniform for all bonds of a common maturity. Any bid may also provide
that all or any of the bonds shall bear additional interest represented by separate
coupons payable on any of the above specified interest due dates but the total
interest payable for any interest period shall not exceed 6~ per annum. The bid
containing the lowest net interest cost (total interest from July 1, 1957 to the
stated maturity dates, less any premium offered), will be deemed the most favorable.
No bid of less than par plus interest accrued from July 1, 1957 to the date of bond
delivery will be considered, The right to reject any and all bids and the right to
waive any informality in any bid are reserved.

8. Each and all the terms and provisions of the foregoing form of
Notice are hereby adopted for the form of said bonds and the
sale thereof.
The motion for the adoption of the foregoing resolution was duly seconded by
Trustee Warkentien „and upon vote being taken thereon, William R. Utecht, George J.
Shavor, Harold C. Nilsen, Willis Warkentien and Clyde J. Stewart, voted in favor
thereof and the said resolution was unanimously passed and adopted.
