ESTABLISHING THE SUBURBAN RAMSEX COUNTY
• EMERGENCY COMMUNICATIONS BOARD JOINT POWERS
AGREEMENT.
Councilman Ecklund offered the following resolution and
moved its adoption:
WHEREAS, the City of Falcon Heights wishes to participate
with other local governmental jurisdictions in improving emergency
response and communications capabilities of law enforcement, fire
service and emergency medical services for all Falcon Heights
residents, and
WHEREAS, a joint cooperative planning effort of all
interested local governments in suburban Ramsey County had pro-
duced a joint powers agreement that offers great potential for
improving all aspects of citizen emergency notification and
public safety agency response through the effective use of radio
and telephone communications,
BE IT RESOLVED, that the Mayor and Clerk Administrator be
authorized to sign the Joint Powers Agreement establishing the
Suburban Ramsey County Emergency Communications Board on behalf
of the City of Falcon Heights.
Councilman Black seconded the foregoing motion and upon a
vote being taken the following voted "aye": Mayor Warkentien,
• Councilmen Black, Ecklund, Steele and Labalestra and the following
voted "nay": None.
WHEREUPON, the Resolution was declared duly passed and adopted
this 28th day of July 1977.

JOINT AND COOPERATIVE AGREEMENT
"SUBURBAN RAMSEY COUNTY EMERGENCY COMMUNICATIONS BOARD"
The parties to this agreement are governmental units of the ~•
State of Minnesota. This agreement is made. and entered into
pursuant to Minnesota Statutes Section 471.59.
WITNESSETH:
WHEREAS, coordinated emergency communications can provide
enhanced public safety services and provide the best opportunity
for application of current and future communications technology,
including technology associated with 911 emergency telephone
, service; and
WHEREAS, the effective utilization of the public safety radio
frequency resource in Ramsey County requires continued cooperation
- in the allocation and sharing of these frequency channels available,
an d
WHEREAS, police powers are granted to cities and counties in
the State of Minnesota by either statute or chapter; and
WHEREAS, command and control of public safety and emergency
service agencies should remain with the chief or director of said
agency; and .
WHEREAS, Minnesota Statutes provide a means for governmental
units to exercise jointly those powers which. they independently
are authorized to exercise; and
WHEREAS, the participant communities in a suburban emergency
communication system desire to be represented on a user board
for that system;
_ NOW, THEREFORE, BE IT RESOLVED that the communities who are
signatories to this agreement hereby commit themselves to joint .
participation iri the development of a suburban integrated emergency
°communications network that serves as a mechanism for providing
citizens with prompt and efficient access to emergency police,
.fire fighting, emergency medical-services, and other emergency
services; and
BE IT FURTHER RESOLVED that in the event that any Court of
competent jurisdiction shall rule contrary to th_e spirit of this
• resolution and agreement, the entire agreement shall become null
and void.
I. GENERAL PURPOSE
The general purpose of this agreement is to provide for an
organization through which the parties may jointly. and cooperatively
participate in the development, implementation, operation, and
maintenance of an integrated public safety emergency communisations:.
system for the Ramsey County suburban area.
II. DEFINITION OF TERMS
For the purposes of this agreement, the terms defined in this
article shall have the meanings given them:

• Section 1. "Suburban Ramsey County Emergency Communications
Board" means the organization created pursuant to .this agreement
which is herein referred to as "SRCECB."
Section 2. "Board" means the Board of Directors of SRCECB,
consisting of one director from each governmental unit which. is
a member of SRCECB..
Section 3. "Member" means any governmental unit which has
.entered into this agreement and is a party. in good standing.
Section. 4. "Council" means the governing body of the member
governmental unit.
Section 5. "Governmental Unit" means the County of Ramsey, and
any city or town in Ramsey County excluding the City of St. Paul.
III. MEMBERSHIP
Section 1. Any governmental unit or combination of govern-
mental units which has authority to render police, firefighting,
or emergency medical services is eligible to be a member of
SRCECB.
Section 2. A governmental unit desiring to be a member
shall execute a copy of this agreement.
Section 3. The initial members shall be those members who
join. SRCECB on or prior to December 31, 1977.
Section 4. Governmental units joining SRCECB after December
31, 1977, shall be admitted only upon the favorable vote. of two-
thirds of the members of the Board. The Board may impose condi-
tions upon the admission of members other than the initial members.

IV. BOARD OF DIRECTORS
Section 1. The governing body of SRCECB shall be its board.
Each member shall be entitled to one director who shall have
one vote.
Section 2. Each. member shall also be entitled to one alter-
pate director who shall be entitled to attend meetings, of the .
board and who may vote. in the absence of the member's director.
, Section 3. Directors and alternate directors shall be
appointed by the council of each member. In order. for SRCECB to.
be of maximum value to its members, they shall appoint, as their
directors and alternates,, their chief administrative officers or
employees with general administration or public safety management
responsibilities except Ramsey County, who shall appoint as its
• directory the sheriff of Ramsey County.
Section 4. There shall be no voting by proxy; all votes
must be cast in person at board meetings-by the director or his
alternate, except the Ramsey County Sheriff who may appoint a
designee. The designee of the Sheriff may chair meetings as
provided in Article V Section 2 and vote at the discretion of
the Sheriff. '
Section 5. .Directors and alternate directors shall be
appointed to serve until their successors are appointed and
qualified.
Section 6. When the council of a member appoints a director
or an alternate director, it shall give notice of such appointment.
. to SRCECB in writing. Such notice shall include the mailing:
address of the persons so appointed. The names and addresses.

shown on such notices may be used as thy,official names and
address for the purposes of giving any notices required by this
agreement or by the bylaws of SRCECB.
Section 7. Any director or alternate director shall be
subject to removal by the council of the member appointing
him, at any time, with. or without cause.
Section 8. A majority of the voting members shall.,constitute
a quorum of the board.
Section 9. A vanancy on the board shall be filled by the
council of the member whose position on the board is vacant.
V. MEETINGS - OFFICERS
Section 1. Any governmental unit desiring to enter into
this agreement may do so by the duly authorized execution of
a copy of this agreement by its proper officers.. Thereupon,
• the cler"k or other corresponding officer of the governmental unit
shall file a duly executed copy of .this agreement, together with
a certified copy"-of the authorizing resolution or other action,
wyth_the coupty administrator of Ramsey County. The resolution
authorizing the execution of the agreement shall also designate
the first director and alternate for the member. The agreement
shall become effective when it has been executed by four eligible
governmental units in Ramsey County, ,and when executed copies
.from such governmental units eligible to be members, together
with certified copies of the authorizing resolutions, have been
duly filed as set out herein. Within 30 days after the effective
date of this agreement, the sheriff of Ramsey County shall call
the first meeting of the board, which shall be held not later
than 15 days thereafter.

Section 2. The sheriff of Ramsey County, or the sheriff's
designee, shall be the Chairman of the Board and shall take
office at the first meeting of the Board.
Section 3. The vice-chairman of the Board-shall be a director
elected from among and by the directors representing any of the
following municipalities which are members:. .Arden Hills, Blaine,
Falcon Heights, Gem Lake, Lauderdale, Little. Canada, Maplewood,
Mounds View, New Brighton, North Oaks, North St. Paul, Roseville,
Shoreview, Vadnais Heights, White. Bear Lake, White Bear Township.
Tie vice-chairman shall be elected in accordance with this section
at the first meeting of the board. Thereafter, on the anniversary
date of this agreement, the vice-chairman shall be elected from
among and by the board of directors.
Section 4. A director shall be elected as a secretary-treasurer
from among and by the directors representing any member. He .shall
be elected at the first meeting of the board- and a new election
shall be held on each anniversary date of this agreement.
Section 5. At the organizational meeting, or as soon therafter
as it may reasonably be done, the board shall adopt bylaws
governing its procedures, including the time, place, and frequency
of its regular meetings. Such bylaws may be amended from time.
to tir~.~, but as a minimum, they shall provide for an annual public
meeting of the board to be held each year and, in addition, for
regular meetings of the board to be held at least quarterly.

Section 6. Special meetings of the board may be called
(a) by the chairman, (b) by the executive committee or (c) by
the executive committee upon the written request of a majority
of the directors. Five days' written notice of special meetings
shall be given to the directors and alternates. Such notice
shall include the agenda for the special meetings.
VI. POWERS AND DUTIES OF THE BOARD
Section 1. Develop and plan and recommend operating procedures
for. an integrated and coordinated public safety. emergency communica-
tions system serving the communities in suburban Ramsey County.
Section 2. The board shall have full control and management
of the affairs of SRCECB including the power to conduct such research
and investigation as it deems necessary on any matter relating to
or effecting the general purposes of the organization.
Section 3. It may delegate authority to the executive
committee of the board, between board meetings. Such delegation
of authority shall be by resolution of the board and may be
conditioned in such a manner as the board may determine. --
Section 4. The board shall have no annual budget and shall
not expend funds except as duly authorized by the governing body
of each member.- No member shall, by virtue of this agreement, be
requested to commit, expend, or allocate any funds except as its
governing body shall authorize.
Section 5. The board shall have the power to seek financial
support from other governmental or granting agencies to accomplish
the general purposes of SRCECB.

Section 1. The officers of the board shall consist of
the chairman, the vice-chairman, and the secretary-treasurer
selected in accordance with the provision of Article V. The
vice-chairman and the secretary-treasurer shall be elected at the
r~gul~~ annual meeting of the board. New officers shall take office
at the adjournemnt of the annual meeting of the board at which
they are elected.
Section 2. A vacancy shall immediately occur in the :office
of any officer upon his resignation, death, or upon his ceasing
to be an employee of his member governmental unit. Upon a vacancy
occurring in the office, the executive committee shall fill such
.position from among directors eligible for the vacant position
until the next meeting of the board.
' Section 3. The ,three officers shall all be members of
the executive committee.
Section 4. The chairman shall preside at all meetings of
. the ~?oard and executive committee. The vice-chairman shall act
as chairman in the absence of the chairman.
Section 5. The secretary-treasurer shall be responsible
for keeping a record of all the proceedings of the board and the
executive committee.
VIII. EXECUTIVE COMMITTEE
Section 1. The board shall have an executive committee
consisting of its three officers and two other directors. The
procedure for electing directors shall be the same as for the
• election of a secretary-treasurer as set forth in Article V,
Section 4 of this agreement.

Section 2. Each member of the executive committee shall
have one vote.
Section 3. A quorum at a meeting of the executive committee
shall require the presence of not less than three (3) executive
committee members. Action shall require. an affirmative vote of
a majority of the full executive committee.
Section 4. The executive committee may adopt bylaws.
governing its own procedures which shall be subject to this.
agreement, the bylaws: of the board, and any resolutions. or other
directives of the board.
Section 5. The executive committee shall meet at the call
of the chairman or upon the call of any two other members. of th.e
executive committee. The date and place of the meeting shall be
fixed by the person or persons calling it. At least forty-eight
(48) hours advance written notice of such meeting shall be given
to' all members. of,tlie executive committee by the person or persons
calling the meeting.
Section 6. The executive committee shall have the following
duties:
(a) It shall exercise the powers and perform the duties
delegated to it by 'the board of directors, subject to such conditions
and limitations as may be imposed by the board.
Cb) It shall present a full report of its activities
at each regular meeting of the board.
Section 7. All actions taken by the executive committee shall
be subject to control by the board of directors as the board shall
deem advisable.

Section 1. There shall be existing under this agreement the
following three C3) standing committees. which shall be appointed
by the board within 90 days of the effective date of this agree-
- ment:
a) Law Enforcement Communications Advisory Committee ~'
b) Fire Services Communications Advisory Committee
c) Emergency Medical Services Communications Advisory .Committee
Section 2. The membership of each. standing committee shall
consist of one member from each. law enforcement, firefighting,
and emergency medical services agency, respectively, providing
emergency services in any part of surburban Ramsey County.
• Section 3. The members of each standing .committee shall
elect their own chairman. The duly elected chairman of each
standing committee shall serve, without vote, on the. board of
SRCECB.
X. TERMINATION
A member may terminate its membership at any. time by giving
written notice of withdrawal to the Secretary-Treasurer of SRCECB.
