<br />A. Title. Title to all refuse, yard waste and recyclables Waste Material collected shall remain vested in <br />the Contractor until all said solid waste is delivered to the authorized processing plant, recycling <br />center, or yard waste site. Title to and liability for any Unacceptable Waste shall at no time pass to <br />Contractor. <br /> <br />B. Severability. All parts and provisions of this Contract are severable. If any part or provision shall be <br />held invalid, the remainder of this Contract shall remain in effect. <br /> <br />C. Independent Contractors. The Contractor is declared to be an independent contractor, and nothing in <br />this Contract shall be construed to create the relationship of employer and employee between the City <br />and the Contractor or its agents, or make the Contractor, its agents, or employees, subject to City <br />Personnel Rules. <br /> <br />D. Force Majeure. Except for th e Cit y’ s obligation to pay amounts due to contractor, any f ailu re o r d ela y <br />in p erfo rman ce du e to con tin gen cies b eyo n d a p art y’ s reas on ab le con tro l , including strikes, riots, <br />terrorist acts, compliance with applicable laws or governmental orders, fires, inclement weather and <br />acts of God (“Fo rce Maj eu re Even t”), shall not constitute a breach of this Contract. Contractor shall <br />not be liable for liquidated damages under section IV.C.3 for failure to perform as a result of a <br />Force Majeure Event. <br /> <br /> <br /> <br /> <br />IX. NOTICES.
