AGREEMENT FOR CONTRACT SERVICES <br /> <br />THIS AGREEMENT, made on the day of 2018, by and <br />between the City of Little Canada, a Minnesota municipal corporation, 515 Little Canada <br />Road, E Little Canada, MN 55117 (“City”) and Inspectron, 15120 Chippendale Ave., <br />Suite 202 Rosemount, MN 55068 (“Contractor”). <br /> <br />WHEREAS, the City has accepted the proposal of the Contractor for the performance of <br />inspection and plan review of permitted construction projects per State law and City <br />Ordinance; and <br /> <br />WHEREAS, Contractor desires to perform the services for the City under the terms and <br />conditions set forth in this Agreement; <br /> <br />NOW THEREFORE, in consideration of the mutual consideration contained herein, it is <br />hereby agreed as follows: <br /> <br />1. Services. City agrees to engage Contractor as an independent contractor on an “as <br />needed basis” as determined by City for the purpose of conducting fill-in building <br />code plan review, inspections and re-inspections (“Services”) in the City per State <br />law and City Ordinance. Contractor may perform additional services, however, <br />such additional services must be agreed to by the parties in writing. <br /> <br />2. Fees and Invoices. Contractor agrees to perform such Services at a rate of $75.00 <br />per hour. Contractor shall provide monthly invoices for such Services, clearly <br />identifying the dates the Services were performed, the project on which the <br />Contractor worked, a description of the activity performed and the number of <br />hours worked. Such invoices shall be due and payable within 30 days of their <br />submission. <br /> <br />3. Subcontractors. Subject to approval by the City of Little Canada, contractor may <br />retain subcontractors to assist with the performance of its Services; however, any <br />subcontractor shall also be required to provide the same insurance obligations as <br />are required of Contractor. In addition, subcontractors shall be under the <br />complete direction and control of Contractor, who shall be solely responsible and <br />liable for their performance of Services under this Agreement. City shall not be <br />obligated to pay any subcontractor directly for any Services performed under this <br />Agreement. <br /> <br />4. Release of Data. City shall provide Contractor with access to all information, <br />records, systems and data required in order for Contractor to adequately perform <br />such Services. City shall retain the proprietary and confidential information <br />regarding Contractor’s business in accordance with the Minnesota Data Practices <br />Act. <br />
