12 <br />(ii) any claim or any alleged obligation, liability or duty on the part of <br />the Lender to perform or discharge on behalf of Pledgor any <br />obligation, liability or duty of Pledgor which arises or accrues prior <br />to the date, if ever, on which Lender acquires title to the Pledged <br />Collateral by foreclosure, assignment in lieu of foreclosure or <br />otherwise. <br /> <br /> (b) Pledgor shall reimburse each person indemnified hereunder within ten <br />(10) days after demand by Lender or such other indemnified person for the full amount of <br />any indemnity to which such person may be entitled hereunder, which shall include all of <br />such person's reasonable costs and expenses with respect thereto (including, without <br />limitation, court costs and reasonable attorneys' fees and related expenses as and when <br />incurred), and the full amount of Pledgor's indemnity obligation shall be considered to be <br />an Obligation secured hereby. The indemnity set forth in this Section shall survive the <br />termination of this Agreement. <br /> <br /> 15. Waiver of Jury Trial. Pledgor and Lender, to the full extent permitted by <br />law, each hereby knowingly, intentionally and voluntarily, with and upon the advice of <br />competent counsel, waives, relinquishes and forever foregoes the right to a trial by jury in <br />any action or proceeding, including any tort action, brought by either of them against the <br />other based upon, arising out of, or in any way relating to or in connection with the Loan <br />Documents, the Loan, this Agreement, any course of conduct, act, omission, course of <br />dealing, statements (whether verbal or written), or actions of any person (including <br />without limitation such persons, directors, governors, officers, managers, partners, <br />members, employees, agents or attorneys, or any other persons affiliated with such <br />person) in connection with the Loan or the Loan Documents, including in any <br />counterclaim which Pledgor may be permitted to assert thereunder or which may be <br />asserted by Lender or its agents against Pledgor, whether sounding in contract, tort, or <br />otherwise. This waiver by Pledgor of its right to a jury trial is a material inducement for <br />Lender to make this Loan. <br /> <br /> 16. Jurisdiction, Court Proceedings. Pledgor, to the fullest extent permitted <br />by law, hereby knowingly, intentionally and voluntarily, and upon the advice of <br />competent counsel (i) submits to the personal, exclusive jurisdiction in the State of <br />Minnesota with respect to any suit, action or proceeding by any person arising from, <br />relating to, or in connection with the Loan Documents or the Loan, and agrees that he (it) <br />will not bring any action, suit or proceeding in any other form, other than St. Paul, <br />Ramsey County, Minnesota, and he (it) consents to the service of any Summons, <br />Complaint or other legal process in any such action, suit or proceeding by registered or <br />certified mail, postage prepaid, to Pledgor at the address for notices described herein, and <br />consents and agrees that said service shall constitute in every respect valid and effective <br />service (but nothing herein shall affect the validity or effectiveness of process served in <br />any other manner permitted by law). <br /> <br /> 17. Governing Law. The Loan has been applied for, considered, approved <br />and made, and all necessary Loan Documents have been accepted by Lender in the State <br />76
