9. IRS-I 099 Reporting. The City shall not be responsible for creating, furnishing or reporting any IRS I 099 notices for any payments it disburses under this Agreement. Any such responsibility shall accrue to the Developer. 10. Notices and Demands. Except as otherwise expressly provided in this Agreement, a notice, demand or other communication under this Agreement by any party to any other shall be sufficiently given or delivered if it is dispatched by registered or certified mail, postage prepaid, return receipt requested, or delivered personally, and (a) in the case of the City is addressed to or delivered personally to the City at: City of Little Canada 515 Little Canada Road, East Little Canada, MN 55117 Attention: City Administrator (b) in the case of the Developer is addressed to or delivered personally to: Blake Bonjean 10296 182nd Street West Lakeville, MN 55044 or at such other address with respect to any such party as that party may, from time to time, designate in writing and forward to the other, as provided in this Section. 11. Miscellaneous. This Agreement shall be binding upon the parties hereto and their respective successors and assigns. This Agreement can be amended or modified only by a writing signed by the parties hereto. This agreement shall be governed by the laws of the State of Minnesota. 12. Waiver. The City may, in its sole discretion, without notice to or consent from any other party, waive any or all conditions for disbursement set forth in this Agreement. However, the making of any disbursement prior to fulfillment of any condition therefor shall not be construed as a waiver of such condition, and the City shall have the right to require fulfillment of any and all such conditions prior to authorizing any subsequent disbursement.
