agency relationship. Contractor agrees to provide its own transportation, <br />equipment, tools and supplies necessary for such Services. <br /> <br />6. Insurance. Contractor agrees to provide liability insurance at least of the amount <br />of $1.000.000.00 for each occurrence and $2,000,000,00 Aggregate and shall <br />name City as an additional insured. <br /> <br />7. Mutual Indemnification. City and Contractor agree to mutually indemnify and <br />hold harmless the other party for any and all liabilities, claims or actions that arise <br />out of the performance of the Services under this contract due to the negligence of <br />the other party. <br /> <br />8. Term. This Agreement shall remain in effect for one year. Either party may <br />terminate this Agreement upon written notice. <br /> <br />9. Assignment. Neither party’s rights and obligations shall be assignable. <br /> <br />10. Governing Law. This Agreement shall be governed by the law of the State of <br />Minnesota. Any legal action shall be brought in Washington County, Minnesota. <br />The parties agree that in the event either party brings an action against the other to <br />enforce any condition of the Agreement, the prevailing party shall be entitled to <br />recover its litigation costs and attorneys fees. <br /> <br />11. Severability. If any provision of this Agreement is illegal, invalid or <br />unenforceable, such illegality, invalidity or unenforceability shall not have an <br />effect upon or impair the remainder of the Agreement. <br /> <br />12. Entire Agreement.
