13068670v2 <br /> <br /> <br />47 <br /> <br />constitute the Trustee its or his attorney-in-fact and agent, with full power and authority to do all <br />acts and things and to exercise all discretion on its or his behalf and in its or his name. <br />In case any co-trustee or separate trustee shall die, become incapable of acting, resign or <br />be removed, the title to the Trust Estate, and all rights, powers, trusts, duties and obligations of <br />said co-trustee or separate trustee shall, so far as permitted by law, vest in and be exercised by the <br />Trustee unless and until a successor co-trustee or separate trustee shall be appointed in the manner <br />herein provided. <br />Section 8.19 Appointment of Successor or Alternate Paying Agents. In the event the <br />initial Trustee shall also have been appointed paying agent for the Series 2021D Bonds or for any <br />Additional Bonds, a successor Trustee shall become successor paying agent with respect to such <br />Bonds unless otherwise provided in the instrument appointing such successor Trustee. If any <br />paying agent other than the initial Trustee shall resign or become incapable of acting, or shall be <br />removed under a supplemental indenture entered into pursuant to the terms hereof, the Trustee <br />may appoint a successor paying agent which is a bank or association qualified to act as paying <br />agent under the Act and which is willing to accept the office on reasonable and customary terms <br />approved by an Authorized Corporation Representative. The Trustee may appoint successor <br />paying agents. “Paying agent” as used in this Section refers to the bank or association named in <br />the form of Bond provided for the Series 2021D Bonds in the recitals hereof where principal of <br />and interest on Bonds may be paid. <br /> <br />[The balance of this page is intentionally left blank.] <br />
