13135953v2 <br /> <br /> <br />10 <br /> <br />person liable for payment of the indebtedness secured hereby, and without <br />regard to the then value of the Mortgaged Property (the provisions for the <br />appointment of a receiver and assignment of rents hereby granted to the <br />Mortgagee being an express condition upon which the loans and payments <br />hereby secured are made) for the benefit of the Mortgagee, with power to <br />rent the same and to collect the rents, issues and profits of the Mortgaged <br />Property, due and to become due, during the pendency of such foreclosure <br />suit and in the case of a sale and deficiency, during the full statutory <br />period of redemption whether there be redemption or not, as well as <br />during any future times when the Mortgagor, except for the intervention of <br />such receiver, would be entitled to collect such rents, issues and profits <br />and shall have all other powers which may be necessary or are usual in <br />such cases for the protection, possession, control, management and <br />operation of the Mortgaged Property during the whole of said period. Any <br />amount so collected by such receiver, whether prior to or following <br />foreclosure, shall be applied under direction of the court upon the costs <br />and expenses of foreclosure and receivership, expense of insurance on the <br />improvements, expense of repairs, taxes, assessments, and the balance <br />shall be paid to the Mortgagee to be applied on the indebtedness secured <br />by this Mortgage. <br />(d) The Mortgagee may either with or without entry or taking possession, <br />proceed by suit or suits at law or in equity or by any other appropriate <br />proceedings or remedy to enforce payment of the indebtedness or the <br />performance of any other term hereof or any other right and the Mortgagor <br />hereby authorizes and fully empowers the Mortgagee to foreclose this <br />Mortgage by judicial proceedings or by advertisement with power of sale <br />and grants to the Mortgagee full authority to sell the Property at public <br />auction and convey title to the Property to the purchaser, either in one <br />parcel or separate lots and parcels, all in accordance with and in the <br />manner prescribed by law, and out of the proceeds arising from sale and <br />foreclosure to retain the principal and interest due on the Series 2021D <br />Bonds and all other indebtedness secured hereby, together with all such <br />sums of money as Mortgagee shall have expended or advanced pursuant to <br />this Mortgage or pursuant to statute, together with interest thereon as <br />herein provided and all costs and expenses of such foreclosure, including <br />lawful maximum attorney’s fees, with the balance, if any, to be paid to the <br />persons entitled thereto by law. In any such proceeding the Mortgagee <br />may apply all or any portion of the indebtedness to the amount of the <br />purchase price. <br />11. Litigation. If any action or proceedings be commenced, to which action or <br />proceeding the Mortgagee is made a party by reason of the execution of this <br />Mortgage or in which the Mortgagee deems it necessary to appear or answer in <br />order to uphold the lien of this Mortgage or the priority thereof or the possession <br />of the Mortgaged Property, or otherwise to protect the interest of the Bondholders <br />or the Mortgagee or security hereunder, all sums paid or incurred by the
