<br />12 <br />14. Notices and Governing Law. All communications hereunder shall be in writing <br />and, except as otherwise provided, shall be delivered at, or mailed or sent by Electronic Notice <br />to, the following addresses: if to the Underwriter, to Northland Securities, Inc., Suite 3300, 150 <br />South Fifth Street, Minneapolis, MN 55402, Attention: Public Finance Department; if to the <br />Corporation, to New Harmony Care Center, [address], Attention: [President and Chief <br />Executive Officer]; and, if to the Issuer, addressed to it at 515 Little Canada Road E, Little <br />Canada, MN 55117, Attention: [Clerk-Treasurer]. This Bond Purchase Agreement shall be <br />governed by and construed in accordance with the laws of the State of Minnesota. For purposes <br />of this paragraph, “Electronic Notice” means a notice transmitted through a time-sharing <br />terminal, facsimile machine or the Internet, as a portable document format (“pdf”) or other <br />replicating image attached to an electronic mail or internet message, if operative as between any <br />two parties, for which a transmission confirmation has been received by the sender and that is <br />confirmed in writing within 24 hours (with an automatic “read receipt” or similar notice not <br />constituting confirmation of an email receipt for purposes of this this definition). <br />15. Parties in Interest. This Bond Purchase Agreement shall be binding upon and <br />shall inure to the benefit of the Underwriter, the Corporation and the Issuer, and, to the extent <br />expressed, any person controlling the Issuer, the Underwriter, the Corporation and their <br />respective executors, administrators, successors and assigns, and no other person shall acquire or <br />have any right under or by virtue of this Bond Purchase Agreement. The term “successors and <br />assigns” shall not include any purchaser, as such purchaser, from the Underwriter of the Bonds. <br />16. Time. Time shall be of the essence of this Bond Purchase Agreement. <br />17. Counterparts.
