73495160v3 <br /> <br /> <br />5 <br /> <br />completion of such items as estimated by the Architect and approved by the Engineering Consultant <br />(or 125%, with respect to the items described in subsection (A) as being subject to seasonal <br />conditions) have been deposited into the Project Fund; <br />(iii) as to all such Governmental Actions, no appeal or other action or proceeding <br />challenging any such Governmental Actions shall have been filed or, if filed and decided, there <br />shall have been no appeal (or further appeal) taken and all other statutory appeal periods must have <br />expired, and there shall be no claim, litigation or governmental proceeding pending against the <br />Borrower or the Project Facilities challenging the validity or the issuance of any zoning, subdivision <br />or other land use ordinance, variance, permit or approval, or any Governmental Action of the kind <br />described in this subparagraph (iii). In addition, as to all of such permits, approvals and certificates <br />having statutory, regulatory or otherwise expressly specified and determinable appeal periods, such <br />periods, if any, must have expired without an appeal having been taken (or any such appeal shall <br />have been denied or shall have affirmed the granting of such Governmental Action); and <br />(iv) if a final certificate of occupancy has not been delivered, the Controlling Person <br />has determined that construction or rehabilitation, as the case may be, of the Improvements is <br />sufficiently complete such that the Improvements can be occupied by tenants as a multifamily <br />residential rental project; <br />(v) the Completion Certificate in the form required under the Borrower Loan <br />Agreement shall have been provided to the Controlling Person and shall be reasonably acceptable <br />to the Controlling Person; and <br />(vi) the Estimated Use of Proceeds Certificate in the form required under the Borrower <br />Loan Agreement shall have been provided to the Controlling Person and shall be reasonably <br />acceptable to the Controlling Person. <br />“Completion Date” means the date by which the construction of the Improvements must achieve <br />Completion. The initial Completion Date is set forth in the Schedule of Financial Terms; provided, <br />however, that at the request of the Borrower and with the prior written approval of the Controlling Person, <br />the Completion Date may be extended one or more times for such periods as the Controlling Person may <br />approve in its sole discretion, upon delivery of such other information and funds as reasonably requested <br />by the Controlling Person or the Funding Lender. The approval of the Controlling Person shall not be <br />unreasonably withheld, conditioned or delayed in connection with any reasonably required extension of the <br />Completion Date as a result of any Force Majeure event. <br />“Condemnation Award” means the total condemnation proceeds actually paid by the condemnor <br />as a result of the condemnation of all or any part of the property subject to the Mortgage less the actual <br />costs incurred, including attorneys’ fees, in obtaining such award. <br />“Construction Closeout Deliveries” means, with respect to the Project Facilities, that each of the <br />following conditions has been satisfied: <br />(i) All conditions to Completion have been satisfied; <br />(ii) the Controlling Person shall have received a copy of the final Plans and <br />Specifications containing all Change Orders and there shall have been no Material Change Orders <br />other than Material Change Orders approved by the Controlling Person;
