135242317v3 <br /> <br /> <br />36 <br /> <br />in respect of any action taken or suffered by Governmental Lender or Fiscal Agent under this <br />Project Loan Agreement and under the Funding Loan Agreement in good faith and in conformity <br />with the opinion of such counsel. It is expressly understood and agreed by the parties to this Project <br />Loan Agreement (other than Governmental Lender) that: <br />(a) Governmental Lender may rely conclusively on the truth and accuracy of <br />any certificate, opinion, notice or other instrument furnished to Governmental Lender by <br />Fiscal Agent, Funding Lender or Borrower as to the existence of a fact or state of affairs <br />required under this Project Loan Agreement to be noticed by Governmental Lender; <br />(b) Governmental Lender shall not be under any obligation to perform any <br />record keeping or to provide any legal service, it being understood that such services shall <br />be performed or caused to be performed by Fiscal Agent, Funding Lender Representative, <br />Loan Servicer or Borrower, as applicable; and <br />(c) None of the provisions of this Project Loan Agreement shall require <br />Governmental Lender or Fiscal Agent to expend or risk its own funds (apart from the <br />proceeds of Funding Loan issued under the Funding Loan Agreement) or otherwise endure <br />financial liability in the performance of any of its duties or in the exercise of any of its <br />rights under this Project Loan Agreement, unless it shall first have been adequately <br />indemnified to its satisfaction against the costs, expenses and liabilities which may be <br />incurred by taking any such action.
