<br />pertaining to privacy or confidentiality. Inspectron understands that all of the data created,
<br />collected, received, stored, used, maintained, or disseminated by Inspectron in performing those
<br />functions that City of Little Canada would perform is subject to the requirements of Chapter 13,
<br />and Inspectron will cooperate with City of Little Canada to furnish or provide requested data to
<br />City of Little Canada. This does not create a duty on the part of Inspectron to provide the public
<br />with access to public data if the public data is available from City of Little Canada, except as
<br />required by the terms of this Agreement or applicable law. All reports and other documents
<br />produced by Inspectron in the performance of services under this Agreement shall be the property
<br />of City of Little Canada. City of Little Canada agrees that, to the extent consistent with the
<br />MGDPA or any other applicable law, it will not reveal, divulge or make known to any person,
<br />firm, or corporation any secret or confidential information during or after the term of this
<br />Agreement, which shall mean knowledge, systems, practices, forms and written plan review
<br />format used by Inspectron in the delivery of Services under this Agreement.

<br />7. Records Availability/Access. Subject to the requirements of Minnesota Statutes, section 16C.05,
<br />subd. 5, City of Little Canada, the State Auditor, or any of their authorized representatives, at any
<br />time during normal business hours, and as often as they may reasonably deem necessary, shall
<br />have access to and the right to examine, audit, excerpt, and transcribe any books, documents,
<br />papers, records, etc., which are pertinent to the accounting practices and procedures of Inspectron
<br />and involve transactions relating to this Agreement. Inspectron shall maintain these materials and
<br />allow access during the period of this Agreement and for six (6) years after its termination or
<br />cancellation.

<br />8. Indemnification. To the fullest extent permitted by law, Inspectron agrees to defend, indemnify,
<br />and hold harmless City of Little Canada and its employees, officials, and agents from and against
<br />all claims, actions, damages, losses, and expenses, including reasonable attorney fees, arising out
<br />of Inspectron’s negligence or Inspectron’s performance or failure to perform its obligations under
<br />this Agreement. Inspectron’s indemnification obligation shall apply to its subcontractor(s), or
<br />anyone directly or indirectly employed or hired by Inspectron, who performs services on behalf
<br />of Inspectron, or anyone for whose acts Inspectron may be liable. Inspectron agrees this indemnity
<br />obligation shall survive the completion or termination of this Agreement. The requirement to
<br />indemnify and hold City of Little Canada harmless as outlined herein shall not extend to claims
<br />that arise solely out of a situation where Inspectron previously notified City of Little Canada in
<br />writing of a failure by an owner or permit applicant to comply with appropriate requirements and,
<br />following such notice, City of Little Canada failed or otherwise refused to enforce said
<br />requirement. To any extent applicable, this indemnification requirement is subject to the
<br />provisions of Minn. R. 1300.0110, subp. 9.
<br />
<br />9. Insurance. During the entire term of this Agreement, Inspectron shall maintain the following
<br />insurances and will provide City of Little Canada of evidence of the same upon request and which
<br />shall cover all services provided by Inspectron pursuant to this Agreement: (1) commercial
<br />general liability insurance coverage with a policy limit of at least $2,000,000 per occurrence; (2)
<br />general aggregate coverage in an amount of $4,000,000; and (3) workers’ compensation insurance
<br />as required by Minnesota law. Inspectron shall, prior to commencing any services required
<br />herein, deliver to City of Little Canada a certificate of insurance as evidence that the above
<br />coverages are in full force and effect. If Inspectron is not required by law to carry workers’
