135242345v3 <br /> <br /> <br />21 <br />evidence satisfactory to it that the Governmental Note was lost, stolen or destroyed, and of the <br />ownership thereof, and furnishing Governmental Lender and Fiscal Agent with indemnity <br />satisfactory to each of them. In the event where the Governmental Note shall have matured, instead <br />of delivering a new Governmental Note, Governmental Lender may pay the same without <br />surrender thereof. <br />Section 2.08 Registration; Transfer of Funding Loan; Transferee Representations <br />Letter. <br />(a) The Funding Loan shall be fully registered as to principal and interest in the <br />manner and with any additional designation as Fiscal Agent deems necessary for the <br />purpose of identifying the registered owner thereof. The Funding Loan shall be transferable <br />only on the registration books of Fiscal Agent. Fiscal Agent shall maintain books or other <br />records showing the name and date of registration, address and employer identification <br />number of the registered owner of the Funding Loan and any transfers of the Funding Loan <br />as provided herein. The Funding Loan shall (i) initially be registered to Initial Funding <br />Lender, (ii) upon the Conversion Date shall be registered to Seller/Servicer, and (iii) upon <br />the Freddie Mac Purchase Date, shall be registered to Freddie Mac. <br />(b) Funding Lender shall have the right to sell, assign or otherwise transfer in <br />whole its interest in the Funding Loan or to grant one or more participation interests in the <br />Funding Loan in a percentage of not less than twenty-five percent (25%) of the outstanding <br />principal amount of the Funding Loan (but prior to the Conversion Date, no limitation on <br />the sale of participation interests apply as long as any participation interest shall be no less <br />than $250,000.00); provided that the Funding Loan may be transferred, or any participation <br />interest therein granted, only to an “accredited investor” as that term is defined in Rule <br />501[(a)(1), (2), (3), (4), (7) or (8)] of Regulation D under the Securities Act or a “qualified <br />institutional buyer” as that term is defined under Rule 144A of the Securities Act (such <br />“accredited investor” or “qualified institutional buyer” a “Qualified Transferee”) that <br />delivers a letter to Fiscal Agent substantially in the form attached hereto as Exhibit C <br />setting forth certain representations with respect to such Qualified Transferee (the <br />“Transferee Representations Letter”). Notwithstanding the preceding sentence, no <br />Transferee Representations Letter shall be required for Funding Lender to: <br />(i) Transfer the Funding Loan to any affiliate or other party related to <br />Funding Lender that is a Qualified Transferee. <br />(ii) Sell or transfer the Funding Loan to a special purpose entity, a trust <br />or a custodial or similar pooling arrangement from which the Funding Loan or <br />securitized interests therein are not expected to be sold or transferred except to (A) <br />owners or beneficial owners thereof that are Qualified Transferees or (B) in <br />circumstances where secondary market credit enhancement is provided for such <br />securitized interests resulting in a rating thereof of at least “A” or better. <br />(iii) Grant participation interests in the Funding Loan prior to the <br />Conversion Date
