Payment for all invoices are due within thirty (30) days of receipt. <br />2. The City of Little Canada retains all right and title to their intellectual property. <br />3. HueLife, LLC agrees to provide all services hereunder in accordance with all applicable <br />laws. The services will be performed in a professional manner by individuals possessing <br />the requisite knowledge, expertise, and training necessary to effectively carry out this <br />Agreement in a manner that equals or exceeds industry standards. <br />4. HueLife, LLC agrees to indemnify and hold The City of Little Canada harmless against any <br />claims of loss or damage arising from the delivery of the services covered by this consulting <br />service agreement. <br />5. HueLife, LLC shall be considered an independent contractor of The City of Little Canada. <br />No formal employment contract is implied or established. <br />6. HueLife, LLC and The City of Little Canada will treat all information related to or learned in <br />anticipation of or in the course of this consulting service agreement as proprietary and <br />confidential. No information shall be disclosed to third parties without prior written approval <br />from The City of Little Canada. HueLife, LLC will not use any confidential information for <br />any purpose other than to complete the services described herein. The parties’ obligations <br />under this Section 7 will survive indefinitely notwithstanding termination of this consulting <br />service agreement. <br />7. Failure to enforce or uphold any aspect of this consulting service agreement shall not be <br />construed as a waiver of any other aspect of the agreement. <br />8. Should any aspect of this agreement be judged to be illegal or unenforceable, all other <br />aspects of this agreement shall remain in full effect, and any nullified aspects of this <br />consulting service agreement shall be replaced by new terms acceptable to both parties. <br />9. This service delivery agreement represents the entire agreement between HueLife, LLC <br />and The City of Little Canada. No other agreements, written or oral, are valid. <br />10. This consulting service agreement shall be governed by the laws of the State of Minnesota. <br /> <br />
