10 <br /> <br />or at such other address that Grantee may, from time to time, designate in writing. Mailed notices <br />shall be deemed duly delivered two (2) business days after the date of mailing. <br /> <br />Section 6.07 Warranty of Legal Capacity. The individuals signing this Agreement on <br />behalf of Grantee and on behalf of Authority represent and warrant on Grantee’s and Authority’s <br />behalf respectively that the individuals are duly authorized to execute this Agreement on Grantee’s <br />and Authority’s behalf, respectively and that this Agreement constitutes Grantee’s and Authority’s <br />valid, binding, and enforceable agreements. <br /> <br />Section 6.08 Electronic Signatures; Execution in Counterparts. The electronic signature <br />of the parties to this Agreement shall be as valid as an original signature of such party and shall be <br />effective to bind the parties hereto. For purposes hereof, (i) “electronic signature” means a <br />manually signed original signature that is then transmitted by electronic means; and (ii) <br />“transmitted by electronic means” means sent in the form of a facsimile or sent via the internet as <br />a portable document format (“pdf”) or other replicating image attached to an electronic mail or <br />internet message. This Agreement may be simultaneously executed in several counterparts, each <br />of which shall be an original and all of which shall constitute but one and the same instrument. <br /> <br />Section 6.09 Governing Law. This Agreement shall be governed by and construed in <br />accordance with the laws of the State of Minnesota, without regard to choice of law principles. All <br />litigation regarding this Agreement will be venued in the appropriate state or federal district court <br />in Ramsey County, Minnesota. <br /> <br />Section 6.10 Data Practices. All data collected, created, received, maintained or <br />disseminated for any purpose in the course of Grantee’s performance of this Agreement is <br />governed by the Minnesota Government Data Practices Act, Minnesota Statutes Chapter 13, and <br />any other applicable state statutes, any state rules adopted to implement the Act and statutes, as <br />well as federal statutes and regulations on data privacy. <br /> <br />Section 6.11 Final Report. Grantee agrees to provide Authority a final report, on such <br />form as provided by Authority, prior to the termination of this Agreement. <br /> <br />Section 6.12 Incorporation of Recitals and Exhibits. The Recitals made at the beginning <br />of this Agreement, and the Exhibits that are attached to this Agreement, are true and correct and, <br />by this reference, are incorporated into and made a part of this Agreement. <br /> <br />Section 6.13 Waste Management. If Project Activities include demolition, Grantee must <br />submit a Waste Management plan to Ramsey County Department of Environmental Health. <br /> <br />Section 6.14 Miscellaneous. <br /> <br />A. All representations, warranties, and covenants contained in this Agreement or made <br />in writing by or on behalf of Grantee in connection with the transactions contemplated by <br />this Agreement will survive the execution and delivery of this Agreement, and the exercise <br />of any rights or remedies by Authority.
