If Birchwood chooses to have Little Canada arrange for these services, <br /> <br /> the cost for these services would be negotiated. <br /> Indemnity, Tenn and Termination: <br /> <br /> The City of Birchwood Village agrees to defend, indemnify, and hold the City of Little Canada <br /> and its employees, harmless from any claims, demands, actions, or causes of action, including <br /> reasonable attorneys fees, against or incurred by the City of Little Canada and its employees, for <br /> injury Co, death of, or damage to the property of any third person or persons, arising out of any <br /> act or omission on the part of the City of Little Canada, and its employees, including its, in the <br /> performance of or wit}t relation to any of the work or services provided by the City of Little <br /> Canada, and its employees, under the terms of this Memorandum of Understanding. The term of <br /> this agreement is one year and can be renewed annually with an inflationary increase {related to <br /> Little Canada's internal cost) cost in billing fee agreed upon by both parties.
