MANUFACTURED HOME BUY /SELL AGREEMENT The City of Little Canada (City) agrees to purchase on behalf of Timothy Dinneen ( "Buyer ") from the Roseville Baptist Church, ( "Seller "), who agrees to sell, the following personal property located at Lot 97, Terrace Heights Mobile Home Park, 2442 Rice Street, Little Canada, MN 55117: A 1963 American Mobile Home and related accessories (the "Property "). City and Seller agree that the Purchase Price shall be Fifteen Thousand Dollars ($15,000.00). Seller agrees to obtain all documents necessary to transfer legal title to the Buyer, including certification of taxes paid and a current certificate of title from the Department of Vehicle Services. Seller shall maintain the Property, including the payment all taxes and obligations due, until title is transferred Seller represents that Seller is the owner of the personal property described above, that the personal property is free from all liens and encumbrances, and that the Seller has the right to sell and convey the personal property to Buyer. Seller agrees to warrant and defend the sale of the personal property to Buyer against any and all person(s) who claim title to the personal property described above, subject only to the encumbrances listed above. This Buy /Sell Agreement shall bind the Seller and benefit the City and Buyer and their successors and assigns. City, Buyer and Seller agree that this Agreement shall terminate and each party shall be released from any and all obligations hereunder if the Property is damaged or destroyed to an extent equal or greater than 25% of the Property's estimated market value as determined by Ramsey County, if Seller loses title to or possession of the Property by reason other than voluntary sale to a third party, or upon a failure of one or both of the contingencies noted above. The parties may voluntarily terminate this agreement by mutual written consent. The Buyer shall purchase the Property, and the Seller shall convey title and possession of same, on or before April 15, 2011 to Buyer. If closing cannot occur by that date, then this agreement may be extended by the mutual consent of all parties. If no extension is agreed upon, then this agreement shall terminate with no further obligations owing on the part of either party to the other. Any earnest money paid by City on behalf of Buyer to Seller shall be refunded in full to City. At closing, Seller shall provide evidence that all liens and encumbrances have been satisfied. As this transaction involves the voluntary sale of the Property that Seller could have sold on the public market and is not made under any threat of acquisition by eminent domain by the City, Seller acknowledges that it is not entitled to nor eligible for any relocation benefits associated with this transactions pursuant to Uniform Relocation Assistance and Real Property Acquisition Policies Act of 1970, as amended, 49 C.F.R 24 or Minnesota Statute § 117.52.
