March 28, 2011 <br />RE: Neatoscan moving to Little Canada <br />To City of Little Canada, <br />This letter is written to discuss a possible renegotiation of an agreement that Neatoscan has made with <br />Graba Properties. <br />Currently Neatoscan has an agreement to move from Oakdale to Little Canada byJuly 1 ` 2011. Since <br />signing this agreement we have had two major developments that have come about and would like to <br />discuss them with the city to see if there are any options. First let me say that if we can't make a <br />compelling enough reason we will stand by our agreement and honor it. <br />First issue, currently Neatoscan is in a legal battle with the third partner having moved to Thailand as he <br />found true love over Christmas 2010. The third partner was bought out however there is pending <br />litigation over that buy out and subsequently we need to be very cautious with any business moves we <br />make until this is cleared up. This process could be over in weeks or worst case scenario it could take <br />10 -14 months, we just do not know at this point. <br />Second issue, we have a tenant who would rent the remaining space in our Little Canada building. That <br />is the space that was intended for Neatoscan. That tenant is coming out of a building owned by Robert <br />Wagner in Oakdale. Subsequently that vacancy in Oakdale is enough room for Neatoscan to move into. <br />So in order to fill Little Canada Robert Wagner is losing a tenant in Oakdale, the prudent business move <br />would be to keep that building full as well by simply expanding Neatoscan into that space. <br />Based on these issues what we are asking for is flexibility to make the right business move for all parties <br />concerned.
