1.5 Liens. Subject to paragraph 1.9 hereof, Mortgagor will keep the Mortgaged <br />Property free from all liens, encumbrances, and security interests of every nature heretofore or <br />hereafter arising, except for liens, encumbrances, and security interests listed on Exhibit A <br />attached hereto or consented to in writing by Mortgagee ( "Permitted Encumbrances "). No <br />fixtures will be installed by Mortgagor, any tenant of the Mortgaged Property, or by any other <br />person subject to a lease, vendor's lien or other lien or claim. Should any fixture be installed, the <br />lien of this Mortgage shall immediately attach and be prior and superior to all other liens or <br />claims. Mortgagor shall pay all amounts and perform all obligations required pursuant to any <br />Permitted Encumbrances and shall not permit any default to occur thereunder, and shall pay <br />when due the claims of all persons supplying labor or materials to or in connection with the <br />Mortgaged Property. <br />1.6 Care of Property. Mortgagor shall (i) take good care of the Mortgaged Property, <br />(ii) maintain the Mortgaged Property in as good repair and condition as at the date of this <br />Mortgage, ordinary depreciation excepted, (iii) commit or permit no waste, (iv) not construct any <br />new buildings, structures, or other improvements on the Land nor add to or alter the design or <br />structural character of any building, structure, or other improvement now or hereafter erected <br />upon the Land without the prior written consent of Mortgagee, (v) upon damage to or destruction <br />of the Mortgaged Property restore same to the condition it was in immediately prior to such <br />damage or destruction, and (vi) not remove or permit removal of any buildings, structures, or <br />other improvements or fixtures of any kind from the Land nor do any act that would impair or <br />lessen the value of the Mortgaged Property without the prior written consent of Mortgagee. <br />1.7 Compliance with Laws. Subject to paragraph 1.9 hereof, Mortgagor shall comply <br />with all present and future laws, ordinances, regulations, covenants, conditions and restrictions <br />affecting the Mortgaged Property or the operation thereof, and shalt pay all fees or charges of <br />any kind in connection therewith. Mortgagor shall not, by act or omission, permit any property <br />which is not subject to this Mortgage to rely on the Mortgaged Property or any part thereof or <br />any interest therein to fulfill any governmental requirement for the character or use of such <br />property; and the Mortgaged Property shall not rely on any property which is not subject to this <br />Mortgage to fulfill any governmental requirement for the character or use of the Mortgaged <br />Property. Mortgagor shall not by act or omission impair the integrity of the Mortgaged Property <br />as a single separate subdivided zoning lot separate and apart from all other tots. <br />1.8 Application of Payments. All payments received by Mortgagee from Mortgagor <br />under this Mortgage shall be applied by Mortgagee in the following order of priority; (i) amounts <br />payable to Mortgagee by Mortgagor under paragraph 1.3 hereof; (ii) interest due on advances <br />made pursuant to this Mortgage; (iii) principal of advances made pursuant to this Mortgage; (iv) <br />interest due on the Note; (v) principal due on the Note; (vi) late charges and any other sums <br />secured by this Mortgage, in such order of application as Mortgagee may determine. <br />1.9 Permitted Contests. Mortgagor shall not he required to (i) pay any tax, <br />assessment or other charge, (ii) pay any charge referred to in paragraph 1.4 hereof, (iii) discharge <br />or remove any lien, encumbrance or charge referred to in paragraph 1.5 hereof, or (iv) comply <br />with any statute law, rule, regulation or ordinance referred to in paragraph 1.7 hereof, so long as <br />5 <br />25 <br />
