1.15 Subrogation. If Mortgagee pays any prior lien from the proceeds of the loan
<br />secured by this Mortgage, it shall be subrogated to the rights of the holder of such prior lien as
<br />fully as if such lien had been assigned to Mortgagee.
<br />1.16 Indemnification by Mortgagor. Mortgagor will protect, indemnify and save
<br />harmless Mortgagee from and against all liabilities, obligations, claims, damages, penalties,
<br />causes of action, costs and expenses (including, without limitation, attorneys' fees and expenses)
<br />imposed upon or incurred by or asserted against Mortgagee by reason of (a) ownership of the
<br />Mortgaged Property, or any interest therein, or receipt of any rent or other sum therefrom, (b)
<br />any accident, injury to or death of persons or loss of or damage to property occurring on or about
<br />the Mortgaged Property or any part thereof or the adjoining sidewalks, curbs, vaults and vault
<br />space, if any, (c) any use, non-use or condition of the Mortgaged Property or any part thereof or
<br />the adjoining sidewalks, curbs, vaults and vault space, if any, (d) any failure on the part of
<br />Mortgagor to perform or comply with any of the terms of this Mortgage, (e) performance of any
<br />labor or services or the furnishing of any materials or other property in respect of the Mortgaged
<br />Property or any part thereof, (I) any negligence or tortious act on the part of Mortgagor or any of
<br />its agents, contractors, sublessees, licensees or invitees, or (g) exercise by Mortgagee of any
<br />remedy provided hereunder or at law or equity; provided, however, that nothing herein shall be
<br />construed to obligate Mortgagor to protect, indemnify and save Mortgagee harmless from and
<br />against liabilities, obligations, claims, damages, penalties, causes of action, costs and expenses
<br />(including, without limitation, attorneys' fees and expenses) imposed upon or incurred by
<br />Mortgagee by reason of the negligent or tortious acts on the part of Mortgagee or any of its
<br />employees, agents, contractors, licensees or invitees. Any amounts paid by Mortgagee under this
<br />paragraph shall become part of the Indebtedness. If any action, suit or proceeding is brought
<br />against Mortgagee by reason of any such occurrence for which Mortgagor must indemnify
<br />Mortgagee pursuant to this paragraph, Mortgagor upon Mortgagee's request will at Mortgagor's
<br />expense resist and defend such action, suit or proceeding or will cause the same to be resisted
<br />and defended by counsel for the insurer of the liability or by counsel designated by Mortgagor
<br />and approval by Mortgagee.
<br />1.17 Miscellaneous Rights of Mort ,a e. Mortgagee may at any time and from time to
<br />time, without notice, release any person liable for payment of any of the Indebtedness, extend the
<br />time or alter the terms of payment of any of the Indebtedness, accept additional security of any
<br />kind, release any property securing the Indebtedness, consent to or join in the making of any plat
<br />or map of the Land or the creation of any easement thereon or any covenants restricting use or
<br />occupancy thereof, or alter or amend the terms of this Mortgage in any way. No such release,
<br />modification, addition, or change shall affect the liability of the person for payment of the
<br />indebtedness, other than a person specifically released by Mortgagee in writing, nor affect the
<br />priority and first lien status of this Mortgage upon any property not so released.
<br />1.18 Right of Mortgagee to Perform.
<br />a. Subject to the rights of Mortgagor under paragraph 1.9, if Mortgagor fails
<br />to pay all and singular any taxes, assessments, or other similar charges heretofore or hereafter
<br />assessed against the Mortgaged Property or fails to perform any other covenants and agreements
