CERTIFICATE OF AUTHORITY OF <br />GRABAPROPERTIES LLC <br />We, the undersigned, do hereby certify that we are all of the Governors and Members of <br />Graba Properties, LLC, a Minnesota .Limited Liability Company ( "Company "). <br />We further certify that the following is a true and correct copy of the Resolutions duly <br />adopted by all of the Board of Governors and Members of the Company, without a meeting, <br />pursuant to Minn. Stat. § 32.28.656 and § 32213.35, to be effective the day of June, 2011, <br />and that said Resolutions have not been altered, amended, repealed or rescinded, and are now in <br />full force and effect: <br />RESOLVED, that the Chief Manager of this Company is hereby authorized and <br />empowered, in the name, and on behalf of the Company, to execute and deliver to the <br />City of Little Canada, a Municipal Corporation and Political Subdivision of the State of <br />Minnesota ( "Lender "), in a form required by Lender, the following documents: <br />(a) Promissory Note in the maximum principal amount of $210,939.48. <br />(b) Construction Loan Agreement. <br />(c) <br />Combination Mortgage, Security Agreement and Fixture Financing Statement <br />securing the Note (the "Mortgage "). <br />(d) Assignment of Rents and Leases ( "Assignment ") securing the Note. <br />(e) This Certificate of Authority <br />(1) And any other instruments or agreements of this Company, which may be <br />required by the Lender in connection with the obligations of Company to the <br />Lender, as evidenced by the Note, the Construction Loan Agreement, the <br />Mortgage or the Assignment, and any renewals, extensions, modifications, or <br />replacements thereof. <br />BE IT FURTHER RESOLVED, that the aforesaid Chief Manager is hereby authorized <br />and empowered to do all acts, including but not limited to, executing the Note, the <br />Construction Loan Agreement, the Mortgage, the Assignment, or any other documents or <br />instruments, and to pledge or hypothecate, from time to time with the Lender, any or all <br />assets of the Company to secure the obligations of Company to the Lender, and any <br />renewals, extensions, or modifications thereof, and to execute in the name and on behalf <br />52 <br />
