Met Council will transfer the Little Canada Interceptor in accordance with the terms of <br />this Agreement. <br />2. Little Canada agrees that the Little Canada Interceptor is beneficial to Little Canada <br />as a local Little Canada sanitary sewer system and Little Canada will accept the transfer <br />of the Little Canada Interceptor in accordance with the terms of this Agreement. <br />3. Met Council has determined on January 13, 2010, and Little Canada agrees that VI-I- <br />422 is in good operating condition as that term is defined in Minnesota Statutes <br />§ 473.5111, subd. 1(a) ( "Good Operating Condition "). <br />Little Canada hereby waives any right provided by Minnesota Statutes § 473.5111 <br />or any other applicable statute to contest or request a hearing on Met Council's <br />determination that VH -422 is in Good Operating Condition. <br />4. Met Council has determined and Little Canada agrees that the L10 System will be in <br />good operating condition as that term is defined in Minnesota Statutes § 473.5111, <br />subd. 1(a) upon completion of the repairs specified in Exhibit B, Sections A, B, and C, <br />attached hereto and made a part hereof (collectively referred to as "Repairs "). <br />Little Canada hereby waives any right provided by Minnesota Statutes § 473.5111 or <br />any other applicable statute to contest or request a hearing on Met Council's <br />determination that the L10 System is in Good Operating Condition subject to the Repairs <br />as provided in this Agreement. <br />IL <br />Construction Provisions of 1,10 Interceptor System <br />1. For purposes of this Agreement, the L10 Gravity Pipe System Project that is the <br />subject of this section consists of improvements to the facilities as described in Exhibit B, <br />Sections B & C. <br />2. Met Council in connection with the construction of the LI 0 Gravity Pipe System <br />Project does hereby appoint Little Canada as its agent to prepare final construction <br />documents, to advertise for bids for the work and construction of the L10 Gravity Pipe <br />System Project, receive and open bids, pursuant to said advertisement and enter into a <br />contract with a successful bidder at the unit prices specified in the bid of-such bidder, and <br />to construct the L I 0 Gravity Pipe System Project. <br />3. Little Canada may include the L10 Gravity Pipe System Project with other City <br />improvement work. All L10 Gravity Pipe System Project work costs will be itemized <br />and segregated from the other work to allow full and correct reimbursement of the L10 <br />Gravity Pipe System Project. <br />4. Little Canada will prepare and submit to Met Council for Met Council's review and <br />approval the final construction documents which will include plans, specifications, the <br />4 <br />6 <br />
