the General Manager of Met Council's Environmental Services Division. Little Canada <br />shall require its contractor to make the corrections and /or meet the requirements of the <br />Construction Documents requested by Met Council through its authorized representative. <br />All work shall be performed in substantial accordance with the approved Construction <br />Documents. Little Canada's Project Engineer will inform Met Council in writing of <br />completion of construction of the L10 Gravity Pipe System Project. Within a reasonable <br />time thereafter, Met Council will inform Little Canada in writing either that the L10 <br />Gravity Pipe System Project as constructed conforms to the Construction Documents <br />approved by Met Council or that the L10 Gravity Pipe System Project does not conform <br />to the approved Construction Documents. Met Council will further inform Little Canada <br />of the specific reasons for non - conformance to the Construction Documents and what <br />steps, in the opinion of Met Council, must be taken by Little Canada to make the L10 <br />Gravity Pipe System Project conform to the Construction Documents. The final decision <br />on conformance of the L10 Gravity Pipe System Project to the Construction Documents <br />will be made by Met Council. Evidence of acceptance of the LI0 Gravity Pipe System <br />Project will be in writing by letter from the General Manager of Met Council's <br />Environmental Services Division. Met Council will not unreasonably withhold <br />acceptance of the L10 Gravity Pipe System Project.7. <br />7. Little Canada will submit any amendments to or material changes in the approved <br />L10 Gravity Pipe System Project final Construction Documents, including the <br />construction schedule, to Met Council for review and approval, which approval will not <br />be unreasonably withheld. Such amendments to the approved final Construction <br />Documents and /or changes in the construction schedule must be submitted to Met <br />Council's project manager at least five (5) days prior to the implementation of such <br />change. Little Canada agrees that it will not proceed with amendment to or changes in <br />the approved final Construction Documents or construction schedule of the L10 Gravity <br />Pipe System Project until Met Council has consented to such change in accordance with <br />its procedures and has approved such change in writing as evidenced by a letter to Little <br />Canada from Met Council's authorized representative. <br />8. Met Council shall reimburse Little Canada for design and construction of the LI 0 <br />Gravity Pipe System Project as provided in this Agreement in the approximate amount of <br />$732,500 which amount consists of $48,000 for design, $684,500for construction, and <br />construction administration costs as described in paragraph 10, below, all as more <br />specifically shown on Exhibit C attached hereto and made a part hereof. <br />The parties agree that the project costs shown on Exhibit C of this Agreement are an <br />estimate of the design and construction cost of the contract work on the L10 Gravity Pipe <br />System Project and that the unit set forth in the Contracts with the successful bidders and <br />the final quantities as measured Met Council's Engineer and its staff shall govern in <br />computing the total final contract construction costs of the L10 Gravity Pipe System <br />Project. All payments to the contractor for work performed on the L10 Gravity Pipe <br />System Project will be made by Little Canada and Met Council will reimburse Little <br />Canada in accordance with the terns of this Agreement. <br />6 <br />8 <br />
