18. Notices. Any notice, request, demand, or other communication permitted or <br />required hereunder shall be in writing and shall be deemed duly given if deposited in the United <br />States mail, first -class postage prepaid, addressed to the party for whom intended at the address <br />specified below or at such other address as either party shall notify the other of as aforesaid: <br />AS TO ASSIGNOR: <br />Graba Properties, LLC <br />Attention: Robert Wagner <br />3225 Country Drive <br />Little Canada, Minnesota 55117 <br />AS TO ASSIGNEE: <br />City of Little Canada <br />Attention: City Administrator <br />515 Little Canada Road <br />Little Canada, Minnesota 55117 <br />19. Miscellaneous. In addition to it being, but without in any way limiting or <br />impairing its validity as, an assignment of rents and leases, this Lease Assignment shall also <br />constitute a Security Agreement under the Uniform Commercial Code as enacted in the State of <br />Minnesota, creating in favor of the Assignee, until the Note, and all other amounts due <br />thereunder, hereunder, or under the Mortgage are fully paid, a security interest in the Leases and <br />the rents, income and profits. Accordingly, Assignor hereby acknowledges to the Assignee that <br />the Assignee shall have in addition to all other rights and remedies afforded to it herein or in the <br />Note and the Mortgage, all rights and remedies afforded to secured parties by the Uniform <br />Commercial Code. Assignor shall execute and deliver to the Assignee, in form satisfactory to <br />the Assignee, such financing statements and other assurances as the Assignee may reasonably <br />request to create, perfect and preserve the security interest herein created and shall cause such <br />financing statements and assurances to be filed or recorded as the Assignee may reasonably <br />request. <br />The rights and remedies of Assignee under this Lease Assignment are cumulative and are <br />not in lieu of, but are in addition to, any other rights or remedies which Assignee shall have <br />under the Note and the Mortgage, or any other instrument constituting security for the Note, or at <br />law or in equity. <br />20. Counterparts. This Lease Assignment may be executed in any number of <br />counterparts, each of which shall be an original, but all of which shall constitute one instrument. <br />7 <br />
