EXHIBIT C MEMORANDUM OF SITE LEASE AGREEMENT Assessor's Parcel Number: 05.29.22.34.0016 Between the City of Little Canada, a Minnesota municipal corporation ( "Landlord ") and T- Mobile Central LLC, a Delaware limited liability company ( "Tenant "). A Site Lease Agreement with Option (the "Lease ") by and between the City of Little Canada, a Minnesota municipal corporation ( "Landlord ") and T- Mobile Central LLC, a Delaware limited liability company ( "Tenant ") was entered into regarding a portion of the following Property: Property located in Ramsey County, MN That part of the Southeast Quarter (SE '' /a) of the Southwest Quarter (SW '' /A) of Section five (5); Township twenty - nine (29), Range twenty -two (22); described as follows: Commencing at a point on the South line of the Southwest Quarter (SW 'G) of Section five (5), Township twenty -nine (29), Range twenty-two (22), distant 556 feet West of the Southeast corner of said SE 'G of the SW 'G of Section 5, Township 29, Range 22; thence West along the said South line of Section 5 to a point on the Easterly line of the Centerville Road; thence North and Northeasterly along the Easterly line of the Centerville Road to a point, which point is 556 feet West of the East line of said SE the SW 'G of said Section 5; thence South and parallel with the East line of said SW 'V, of Section 5; to the point of beginning. Subject, however, to Road or Highway rights and Easements over those portions of said tract of land taken by the State of Minnesota, County of Ramsey, Township of New Corola for Road or Highway purposes, according to the M.E. Government survey thereof on file and record in the office of the Registrar of Titles in and for said County AND BEING the same property conveyed to Village of Little Canada, a municipal corporation from Gordon Nadeau and Lena Nadeau, husband and wife by Warranty Deed dated May 23, 1963 and recorded May 23, 1963 in Instrument No. 456404. Tax Parcel No. 05.29.22.34.0016 (Torrens) The Option is for a term of four (4) months after the Effective Date of the Lease (as defined under the Lease). The Lease is for an initial term of five (5) years after the Effective Date of the Lease (as defined under the Lease).
