City means the City of Little Canada, Minnesota; City Phase III Shortfall Amount means the difference between the Phase III Shortfall and the Phase III Deposit Amount. Construction Plans means the plans, technical specifications, drawings and related documents of the construction work to be performed by the Developer on the Project and the Development Property and the plans (a) shall be as detailed as the plans, specifications drawings and related documents which are submitted to the building inspector of the City, and (b) shall include at least the following: (1) site plan; (2) foundation plan; (3) basement plans; (4) floor plan for each floor; (5) cross sections of each (length and width); (6) elevations (all sides); (7) grading and drainage; and (8) landscape; County means Ramsey County, Minnesota; Developer means St. Jude Medical, Inc., its successors and assigns; Development District means the real property described in the Development Program; Development Program means the development program approved in connection with the Development District; Development Property means the real property legally described in Exhibit B attached to this Agreement; Easement Property means the real property legally described in Exhibit C attached to this Agreement; Event of Default means any of the events described in Section 5.1 of this Agreement; Guaranty means the guaranty by the Developer as provided in Section 4.2 of this Agreement; Guaranty Note means the Tax Increment Revenue Note (St. Jude Medical Campus Expansion Project - Guaranty) to be executed by the City and delivered to the Developer pursuant to Article IV hereof, a copy of which is attached hereto as Exhibit F; and Guaranty Note Payment Date means each February 1 and August 1, commencing with the first February 1 or August 1 occurring after (a) payment of the Bonds in full and (b) the City has fully reimbursed itself from Tax Increments for any difference between the- Rlmse —II -i Shortfall and the- Phase III- — Deposit AmountCity Phase ITT Shortfall Amount through and including February 1, 2026; provided, that if any such Guaranty Note Payment Date should not be a Business Day, the Guaranty Note Payment Date shall be the next succeeding Business Day.
