SECTION 10. Default. In the event of a failure of the Issuer to provide information required by this <br />Disclosure Undertaking, any Owner may take such actions as may be necessary and appropriate, including seeking <br />mandamus or specific performance by court order, to cause the Issuer to comply with its obligations to provide <br />information under this Disclosure Undertaking. A default under this Disclosure Undertaking shall not be deemed an <br />Event of Default under the Resolution, and the sole remedy under this Disclosure Undertaking in the event of any <br />failure of the Issuer to comply with this Disclosure Undertaking shall be an action to compel performance. <br />SECTION 11. Beneficiaries. This Disclosure Undertaking shall inure solely to the benefit of the Issuer, the <br />Participating Underwriters and Owners from time to time of the Bonds, and shall create no rights in any other person <br />or entity. <br />SECTION 12. Reserved Rights. The Issuer reserves the right to discontinue providing any information <br />required under the Rule if a final determination should be made by a court of competent jurisdiction that the Rule is <br />invalid or otherwise unlawful or, subject to the provisions of Section 8 hereof, to modify the undertaking under this <br />Disclosure Undertaking if the Issuer determines that such modification is required by the Rule or by a court of <br />competent jurisdiction. <br />Dated: , 2007.
