execute any and all documents necessary to include such document in the Land <br />Sale Loan Documents. <br />C. The EDA further covenants and warrants that (i) the TIF Documents are all of the <br />documents it has entered into regarding the Tax Increment Financing for the <br />Project, (ii) there are no other documents relating to the 'fax Increment Financing <br />for the Project, (iii) it will not enter into any other documents relating to the Tax <br />Increment Financing for the Project which would have an adverse impact upon <br />any other party to this Master Subordination Agreement without the prior written <br />consent of such party or parties, and (iv) any document relating to the Tax <br />Increment Financing for the Project which may exist and is not listed in the TIF <br />Documents, or may come into existence in the future, shall not have any force or <br />effect until approved and consented to in writing by all of the parties to this <br />Master Subordination Agreement, and upon such written approval such document <br />shall be automatically considered to be included in the TIF Documents, and the <br />EDA will execute any and all documents necessary to include such document in <br />the TIF Documents. <br />D. Oak Grove agrees and consents to the use of the Ramsey County Loan <br />Documents, the Land Sale Loan Documents and the TIF Documents. <br />C. Ramsey County agrees and consents to the use of the Oak Grove Loan <br />Documents, the Land Sale Loan Documents and the 'HP Documents. <br />F. The EDA agrees and consents to the use of the Oak Grove Loan Documents and <br />the Ramsey County Loan Documents. <br />3. Subordination of Loans and Documents. The parties agree to the following priority and <br />subordination of the loans and documents referred to and described herein: <br />A. The EDA agrees and acknowledges that the Oak Grove Loan and the Oak Grove <br />Loan Documents and all advances made thereunder and accrued interest thereon <br />are senior and prior to the TIF Documents. Therefore, the FDA agrees to, and <br />does hereby (i) subordinate any and all liens, security interests and restrictive <br />covenants, if any, included in the TIF Documents to any and all liens, security <br />interests and restrictive covenants, if any, securing repayment of the Oak Grove <br />Loan and the Oak Grove Loan Documents, and (ii) subordinates the TIF <br />Documents to the Oak Grove Loan and the Oak Grove Loan Documents. <br />13. Ramsey County agrees and acknowledges that the Oak Grove Loan and the Oak <br />Grove Loan Documents and the TIF Documents, and all advances made <br />thereunder and accrued interest thereon are senior and prior to the Ramsey County <br />Loan and the Ramsey County Loan Documents. Therefore, Ramsey County <br />agrees to, and does hereby (i) subordinate any and all liens, security interests and <br />restrictive covenants, if any, included in the Ramsey County Loan and the <br />Ramsey County Loan Documents to any and all liens, security interests and <br />restrictive covenants, if any, securing repayment of the Oak Grove Loan or <br />created by the Oak Grove Loan Documents or the TIF Documents, and (ii) <br />4 <br />5 <br />
