applicable law and a governor may be liable: <br />8.3.1 for breach of the governor's duty of loyalty to the Company or its <br />members <br />8.3.2. for acts of omissions not in good faith or that involve intentional <br />misconduct or knowing violation of law; <br />8.3.3. under section 322B.56 or 80A.23 of the Minnesota Statutes; and <br />8.3.4. for any transactions from which the governor derived an improper <br />personal benefit. <br />No amendment to or repeal of this article 8.3 shall affect the liability of <br />any governor of the Company for or with respect to any acts of omissions <br />of such governor occurring prior to such amendment or repeal. <br />ARTICLE IX <br />CLASS AND SERIES OF MEMBERSHIP INTERESTS <br />9.
