EXHIBIT C <br />[Space Above this Line for Recording Office Use Only] <br />RECIPROCAL EASEMENT AND MAINTENANCE AGREEMENT <br />THIS RECIPROCAL EASEMENT AND MAINTENANCE AGREEMENT, is made as <br />of this /(( day of September, 2003, by HERITAGE JABEZ LLC, a Minnesota limited <br />liability company ( "Heritage ") and INTERNATIONAL UNION OF PAINTERS AND ALLIED <br />TRADES DISTRICT COUNCIL 82 BUILDING CORPORATION, INC., a Minnesota non- <br />profit corporation ( "Painters "). <br />WITNESSETH: <br />WHEREAS, Heritage is the owner of certain land in the City of Little Canada (the <br />"City "), County of Ramsey, State of Minnesota, legally described as Lots 1 and 3, Block 1, <br />Drywall Supply Addition, and Painters is the owner of certain land in the City legally described <br />as Lot 2, Block 1, Drywall Supply Addition (all of such Lots 1, 2 and 3 hereinafter referred to as <br />the "Property "); and <br />WHEREAS, Heritage and Painters desire that each of the Lots in the Property ( "Lots" <br />and each a "Lot" and numbered Lots corresponding to the lot numbers on the plat of Drywall <br />Supply Addition) be subject to and have the benefit of covenants and easements relating to an <br />access road crossing and serving each of the Lots (all portions of such access road lying within <br />the Access Road Easement, as defined below, being hereinafter referred to- as the "Access <br />Road ") and common water and sewer lines serving the Lots (such lines serving more than one <br />Lot hereinafter referred to as "Utility Lines "); <br />NOW, THEREFORE, in order to provide for efficient use of the Property and the Access <br />Road and the Utility Lines, Heritage and Painters hereby agree and declare that the Property is <br />and shall be transferred, held, sold, conveyed, occupied and developed only subject to the <br />following covenants, conditions, restrictions and easements which are for the purpose of <br />protecting the value and desirability of, and which shall run with, the Property and be binding on <br />all parties having any right, title or interest in the Property or any part thereof, their heirs, <br />successors and assigns, and shall inure to the benefit of each owner thereof. <br />
