EXHIBIT C [Space Above this Line for Recording Office Use Only] RECIPROCAL EASEMENT AND MAINTENANCE AGREEMENT THIS RECIPROCAL EASEMENT AND MAINTENANCE AGREEMENT, is made as of this /(( day of September, 2003, by HERITAGE JABEZ LLC, a Minnesota limited liability company ( "Heritage ") and INTERNATIONAL UNION OF PAINTERS AND ALLIED TRADES DISTRICT COUNCIL 82 BUILDING CORPORATION, INC., a Minnesota non- profit corporation ( "Painters "). WITNESSETH: WHEREAS, Heritage is the owner of certain land in the City of Little Canada (the "City "), County of Ramsey, State of Minnesota, legally described as Lots 1 and 3, Block 1, Drywall Supply Addition, and Painters is the owner of certain land in the City legally described as Lot 2, Block 1, Drywall Supply Addition (all of such Lots 1, 2 and 3 hereinafter referred to as the "Property "); and WHEREAS, Heritage and Painters desire that each of the Lots in the Property ( "Lots" and each a "Lot" and numbered Lots corresponding to the lot numbers on the plat of Drywall Supply Addition) be subject to and have the benefit of covenants and easements relating to an access road crossing and serving each of the Lots (all portions of such access road lying within the Access Road Easement, as defined below, being hereinafter referred to- as the "Access Road ") and common water and sewer lines serving the Lots (such lines serving more than one Lot hereinafter referred to as "Utility Lines "); NOW, THEREFORE, in order to provide for efficient use of the Property and the Access Road and the Utility Lines, Heritage and Painters hereby agree and declare that the Property is and shall be transferred, held, sold, conveyed, occupied and developed only subject to the following covenants, conditions, restrictions and easements which are for the purpose of protecting the value and desirability of, and which shall run with, the Property and be binding on all parties having any right, title or interest in the Property or any part thereof, their heirs, successors and assigns, and shall inure to the benefit of each owner thereof.
