Consulting Agreement <br />This agreement is made and entered into on January 9, 2012 by Michele Rueckert, an <br />individual hereinafter referred to as "Consultant" and the City of Little Canada, Minnesota, a <br />municipal corporation organized under the laws of the State of Minnesota and hereinafter <br />referred to as "City ". <br />The Consultant and City agree as follows: <br />Scope of Services. <br />The City retains the Consultant to provide the following professional services: <br />1. Completion of 2011 Audit Work Papers <br />2. Assistance with Payroll, Accounts Payable, and Utility Billing on an "as needed" <br />basis. <br />3. Completion of the 2011 Little Canada Fire Relief Association audit. <br />4. Coordinate and Cooperative with any interim finance staffing retained by the City to <br />avoid duplication of services and to ensure the completion of all necessary functions. <br />5. Other duties as assigned by City. <br />Invoices. <br />Consultant shall submit an invoice of services provided. Said invoice shall list the items <br />worked on, the dates the work was performed and the hours worked on each item. The <br />billing rate shall be dollars Forty -five dollars ($45.00) per hour. In no event will the <br />Contractor's total billings exceed $4,500.00 without prior notice to and approval by the <br />City. <br />Payments. <br />The City shall make payments to the Contractor no later than twenty -one days after <br />receipt of the invoice. <br />Work Products. <br />All work products and supporting documentation which result from the Consultant's <br />services shall become the property of the City. <br />Consultant Independent Contractor. <br />It is agreed that the relationship of the Consultant to the City is that of an independent <br />contractor and not that of an employee. <br />Use of City Equipment and Facilities. <br />City agrees to allow Contractor to use its facilities and equipment as needed to complete <br />the assigned tasks. City also will allow Contractor to work off site on City's activities as <br />the need may arise. <br />Termination. <br />This agreement will terminate at the City's sole discretion by providing Contractor <br />twenty -four hours written notice. It is understood the City shall pay the Consultant for all <br />work performed to the date of termination. <br />2 <br />
