Consulting Agreement This agreement is made and entered into on January 9, 2012 by Michele Rueckert, an individual hereinafter referred to as "Consultant" and the City of Little Canada, Minnesota, a municipal corporation organized under the laws of the State of Minnesota and hereinafter referred to as "City ". The Consultant and City agree as follows: Scope of Services. The City retains the Consultant to provide the following professional services: 1. Completion of 2011 Audit Work Papers 2. Assistance with Payroll, Accounts Payable, and Utility Billing on an "as needed" basis. 3. Completion of the 2011 Little Canada Fire Relief Association audit. 4. Coordinate and Cooperative with any interim finance staffing retained by the City to avoid duplication of services and to ensure the completion of all necessary functions. 5. Other duties as assigned by City. Invoices. Consultant shall submit an invoice of services provided. Said invoice shall list the items worked on, the dates the work was performed and the hours worked on each item. The billing rate shall be dollars Forty -five dollars ($45.00) per hour. In no event will the Contractor's total billings exceed $4,500.00 without prior notice to and approval by the City. Payments. The City shall make payments to the Contractor no later than twenty -one days after receipt of the invoice. Work Products. All work products and supporting documentation which result from the Consultant's services shall become the property of the City. Consultant Independent Contractor. It is agreed that the relationship of the Consultant to the City is that of an independent contractor and not that of an employee. Use of City Equipment and Facilities. City agrees to allow Contractor to use its facilities and equipment as needed to complete the assigned tasks. City also will allow Contractor to work off site on City's activities as the need may arise. Termination. This agreement will terminate at the City's sole discretion by providing Contractor twenty -four hours written notice. It is understood the City shall pay the Consultant for all work performed to the date of termination. 2
