ARTICLE 9 <br />REPRESENTATIONS AND WARRANTIES <br />SECTION 9.01. Authority, Binding Effect <br />Both parties represent and warrant that the individuals executing this Agreement on behalf of <br />each of the parties have the full power and authority to execute and perform this Agreement, and that <br />this Agreement constitutes a legal, valid and binding obligation enforceable in accordance with its <br />terms. <br />SECTION 9.02. Corporate Authorization <br />Both Parties represent and warrant that the execution and delivery of this Agreement and the <br />performance of duties contemplated herein have been duly authorized by all necessary legislative or <br />corporate action. The execution, delivery and performance of this Agreement will not conflict with <br />or result in the breach or violation of any term or provision of any of either party's municipal <br />ordinances or state statutes, charter or constitution, any other state or federal law, or any other <br />provision or authority. <br />ARTICLE 10 <br />MISCELLANEOUS PROVISIONS <br />SECTION 10.01. Successors and Assigns <br />All terms, covenants, and conditions of this Agreement shall be binding upon, and inure to <br />the benefit of and be enforceable by the parties hereto and their respective successors, heirs, <br />executors and assigns.
