CONSULTANT SERVICES AGREEMENT <br />Between the City of Little Canada <br />And <br />Stephen Tokle Inspections Inc. <br />for Electrical Inspection Services <br /> <br />THIS AGREEMENT, made and entered into this _____of _______, 2025, by and between the City of <br />Little Canada, Minnesota municipal corporation, herein referred to as "CITY," and TOKLE <br />INSPECTIONS INC., a Minnesota corporation, herein referred to as "CONSULTANT", together herein <br />referred to as the “Parties”. <br /> <br />WHEREAS, the CITY desires to contract with a consultant to render certain technical and <br />professional assistance in connection with such undertakings of the CITY in regard to CITY <br />electrical construction within its corporate limits; and said services are electrical inspection <br />services based on Minnesota State Building Code. <br /> <br />NOW, THEREFORE, the Parties hereto do mutually agree as follows: <br /> <br />1. Scope of Service. The CONSULTANT shall perform all necessary professional services <br />provided under this Agreement as follows: <br /> <br />A. Provide all required on-site inspection services in relation to each electrical permit. <br />B. Retain all pertinent records and copies of permits and correspondence related to <br />each permit and make them available to the CITY upon request. <br /> <br />2. Compensation. The fees for the CONSULTANT services shall be based on 80 percent of the <br />electrical permit fees, not including surcharges, as provided on Exhibit A, within 30 days <br />following receipt of a monthly invoice provided by the CONSULTANT to the CITY. <br /> <br />3. Insurance. CONSULTANT agrees to maintain, at its expense, statutory workers’ compensation <br />insurance coverage, if required by law. CONSULTANT also agrees to maintain, at its expense, <br />general liability insurance coverage insuring CONSULTANT against claims for bodily injury, <br />death, or property damage arising out of CONSULTANT’s general business activities (including <br />automobile use). <br /> <br />A. Worker’s Compensation, as required by Minnesota law. <br />B. Electrical Inspector’s errors and omissions and General Liability insurance policies <br />with limits of $1,000,000 for each negligent act, error, or omission, and <br />$2,000,000 aggregate. <br /> <br /> CONSULTANT shall provide the CITY with certificates of insurance, showing evidence of the <br />required coverage and listing the CITY as an additional insured. <br /> <br />4. CONSULTANT shall indemnify, defend, and hold harmless the CITY and its officials, <br />employees, contractors, and agents from any loss, claim, liability, and expense (including <br />reasonable attorneys’ fees and expenses of litigation) arising from, or based in the whole, or <br />in any part, on any negligent act or omission by CONSULTANT, its employees, subcontractors <br />and agents, or any other person engaged by CONSULTANT in the performance of the <br />services pursuant to this Agreement.
