<br />1 <br /> <br />GREEMENT REGARDING MUNICIPALITY ATTACHMENTS TO STREETLIGHT <br />POLES OWNED BY NORTHERN STATES POWER COMPANY <br /> <br /> <br />This AGREEMENT REGARDING STREETLIGHT POLES OWNED BY NORTHERN <br />STATES POWER COMPANY (“Agreement”) is entered into and effective as of the 7th day of <br />October 2025, by and between Northern States Power Company, a Minnesota corporation d/b/a <br />Xcel Energy (“Xcel Energy”), and City of Little Canada (“Municipality”). <br /> <br />RECITALS <br /> <br />A. Xcel Energy owns certain streetlight poles which support only streetlights and wiring to <br />energize the lights (“Poles”), located within the boundaries of the Municipality. <br />B. Municipality has requested permission from Xcel Energy to attach ornamental banners, <br />way finding signs (e.g., “historic district next right”), holiday lights and decorations <br />meeting the criteria in the Specifications defined below (each an “Ornamental Pole <br />Attachment”), for non-commercial purposes and to only the Poles as described in <br />Exhibit A, attached hereto, and incorporated by this reference. <br />C. The use of the Poles for Ornamental Pole Attachments is undertaken as part of the <br />operations of the Municipality. <br />D. Xcel Energy is willing to grant permission to Municipality for this purpose, subject to the <br />terms and conditions stated in this Agreement. <br />E. Ornamental Pole Attachments are not included as or a part of electric service under Xcel <br />Energy’s electric tariff including street lighting service. <br />F. Xcel Energy owns distribution poles used for transmission and distribution of electricity <br />which may have streetlights attached, however, these distribution poles are not part of this <br />Agreement; and <br />G. This Agreement is entered into to set forth the process, standards, rights, and obligations <br />for the attachment of Ornamental Pole Attachments to the Poles. <br /> <br />AGREEMENT <br /> <br />1. License. <br /> <br />(a) Xcel Energy hereby grants Municipality a non-exclusive license, for the Term (defined <br />below), to attach Ornamental Pole Attachments to the Poles for non-commercial purposes <br />only, subject to compliance by the Municipality with the terms and conditions of this <br />Agreement. This Agreement does not create a lease, easement, or other real property <br />interest. Nothing contained in this Agreement shall be deemed or construed to create a <br />partnership or joint venture of, or between, Xcel Energy and Municipality, or to create <br />any other relationship between the parties other than that of licensor and licensee. <br /> <br />(b) The license granted by this Agreement does not include the supply of electricity to power <br />any holiday lights or other aspect of an Ornamental Pole Attachment. Electricity for <br />Ornamental Pole Attachments will be supplied by Xcel Energy, subject to and in <br />accordance with Xcel Energy’s tariff on file with the Public Utilities Commission or Public <br />Service Commission with authority in the State where Xcel Energy’s Poles are located, as
