-1- <br />TENANT ESTOPPEL CERTIFICATE: <br /> <br />To: JM, LLC <br /> <br /> The undersigned hereby certifies and agrees as follows: <br /> <br />1. The undersigned is a tenant (“Tenant”) under that certain lease (the “Lease”) by <br />and between Tenant and City of Little Canada, a Minnesota political subdivision (such party, <br />together with its successors and assigns, hereinafter collectively referred to as the “Landlord”) <br />dated February 22, 2024, affecting the buildings located at 2884 and 2886 Centerville Road, <br />Little Canada, Minnesota 55117, and located on real property which is legally described as: <br />SEE EXHIBIT A <br />ATTACHED HERETO <br /> <br />(the “Building”). <br />2. The Lease commenced on February 22, 2024. <br />3. The Lease will terminate on May 1, 2026 per the Tenant’s request. The Tenant has <br />no option or other right to extend the term of the Lease beyond May 1, 2026. <br />4. Tenant has accepted and is occupying the entire premises in the Building demised <br />to it under the Lease (the "Premises"). <br />5. Tenant has not paid rent or additional rent beyond May 1, 2026. <br />6. The Lease is the entire agreement between the Landlord and Tenant pertaining to <br />the Premises. <br />7. Tenant has sublet portions of the Premises and assigned some of its rights under the <br />Lease. <br />8. Tenant does not have any purchase option or first refusal right with respect to the <br />Building and Tenant does not have any right or option for additional space in the Building. <br />9. Since the date of the Lease, there has been no material adverse change in the <br />financial condition of Tenant, and there are no actions, whether voluntary or otherwise, pending <br />against Tenant under the bankruptcy, reorganization, arrangement, moratorium or similar laws of <br />the United States, any state thereof or any other jurisdiction. <br />10. Tenant acknowledges and agrees that Tenant approached Landlord to inquire about <br />termination of the Lease. <br />11. Tenant acknowledges and agrees that the termination of their Lease is due solely to <br />Tenant’s desire to terminate the Lease.
