D. Developer and the EDA also desire to grant each other certain reciprocal access <br />easements for the benefit of the Developer Property and the EDA Property pursuant to the terms and <br />conditions of this Agreement. <br />NOW THEREFORE, in consideration of the foregoing recitals and other good and <br />valuable consideration, the parties agree as follows: <br />ARTICLE 1 <br />EASEMENTS <br />1.1 Utility Easement. The EDA hereby grants a non - exclusive easement to Developer <br />for the construction, alteration, repair, eplacement, maintenance and use of <br />underground utility facilities intended to provide services to the Developer Property (the "Utility <br />Facilities "), under the portion of the EDA Property depicted on Exhibit A attached hereto (the <br />"Utility Easement Area "), subject to the terms and conditions set forth herein. <br />1.2 Parking Easement. The EDA hereby grants an exclusive easement for the benefit <br />of the Developer Property and the Developer for the construction. alteration. repair, replacement, <br />maintenance and use of parking facilities (the "Parking Facilities "), on the portion of the EDA <br />Property depicted on Exhibit B attached hereto (the "Parlcing Easement Area ") subject to the terms <br />and conditions set forth herein. <br />1.3 Access Easements. Developer and EDA each hereby grant a non - exclusive <br />easement for the benefit of the EDA Property and the EDA and for the benefit of the Developer <br />Property and the Developer. respectively, for purposes of vehicular and pedestrian ingress and <br />egress over the drive areas (the "Access Facilities ") depicted on Exhibit C attached hereto <br />(collectively. the "Access Easement Areas "), subject to the terms and conditions set forth herein. <br />ARTICLE 2 <br />CONSTRUCTION AND MAINTENANCE <br />OF UTILITY FACILITIES <br />2.1 Coordination. The plans for any Utility Facilities. Parking Facilities or Access <br />Facilities to be constructed in the Utility Easement Adeacasement areas described in this <br />Agreement shall be approved in advance by the EDA, and the construction, alteration, repair, <br />replacement and maintenance of such improvements shall be coordinated with the EDA. <br />2.2 Temporary License. During the period of any construction, alteration, repair, <br />replacement and maintenance of Utility Facilities 1 cated in the Utility Easement Area,Facilities, <br />Parking Facilities or Access Facilities. the EDA grants to Developer, its architects, engineers, <br />contractors. subcontractors, materiahnen and others engaged in directing and performing such work <br />for Developer, a temporary license to use portions of the EDA Property, as and to the extent <br />reasonably necessary for the purpose of performing necessary work. <br />
