3. Disbursement of Grant Proceeds. The City will make disbursements upon <br />receipt of a written disbursement request in the form of Exhibit C (the "Disbursement <br />Request ") from Grantee or such other form as may be required under the provisions of <br />the DTED Grant Agreement relating to Payment and Disbursement. <br />4. Accounting and Report Requirements. The Grantee agrees to establish and <br />maintain accurate and complete accounts and records relating to the receipt and <br />expenditure of the Grant. The Grantee will provide to the City such written reports as <br />may be reasonably requested by the City regarding the status of the Project and <br />expenditures of Grant proceeds all in accordance with the requirements of the DTED <br />Grant Agreement. <br />5. Compliance with Law. The Grantee agrees that its activities in connection with <br />the Project will be conducted in accordance with applicable state and federal laws. <br />Grantee shall require that contractors performing work covered by the DTED Grant <br />Agreement be in compliance with all applicable OSHA regulations, including the federal <br />Hazardous Waste Operations and Emergency Response Standards (29 CFR 1910.120 and <br />29 CFR 1926.65). <br />6. Warranty of Legal Capacity. The individuals signing this Agreement on behalf <br />of the City and the Grantee represent and warrant on the City's or the Grantee's behalf, as <br />applicable, that the individual is duly authorized to execute this Agreement and that this <br />Agreement constitutes the City's or the Grantee's, as applicable, valid, binding and <br />enforceable agreements. <br />7. Amendments. Any amendments, changes or modifications to this Agreement <br />shall be effective only upon the execution of a written amendment signed by an <br />authorized representative of the City and the Grantee. <br />8. Hold Harmless. The Grantee shall hold harmless, defend and indemnify the City <br />from any and all claims, actions, suits, charges and judgments that are caused by <br />Grantee's activities under this Agreement. <br />9. Successors and Assigns. This Agreement shall be binding upon any successors <br />or assigns of the parties hereto. <br />10. Governing Law. This Agreement shall be governed by and construed in <br />accordance with the laws of the State of Minnesota. <br />11. Counterparts. This Agreement may be executed in one or more counterparts. <br />All such counterparts shall be construed together and shall constitute one instrument. <br />[The remainder of this page is left blank intentionally.] <br />
