515 Little Canada Road, Little Canada, MN 55117-1600
(651) 766 -4029 / FAX: (651) 766 -4048
www.ei.little-eanada.rnn.us
MEMORANDUM
TO: Mayor Fahey & Members of the City Council
FROM: Joel Hanson, City Administrator
DATE: March 19, 2004
RE: EDA — Briggs & Morgan Conflict Waiver
MAYOR
Michael 1. Fahey
COUNCIL
Jim LaValle
Matt Anderson
Rick Montour
Bill Blesener
ADMINISTRATOR
Joel R. Hanson
Attached is correspondence from Thomas Bray of Briggs & Morgan regarding his firm's continued
representation of us and Twin City Federal involving TCF's request for revisions to a subordination
agreement that was part of the Development Agreement with the Villas of Little Canada. Specifically,
TCF would like revisions to that agreement. They contacted Mr. Bray to discuss it. I have instructed
him to tell TCF that we are holding firm on the language we already negotiated and any further
communications should be directed to me. This conversation, with some clarification of the existing
development agreement provisions has already occurred.
Due to the fact that Briggs & Morgan has also represented TCF, Mr. Bray felt he should have the
attached letter executed as a matter of full disclosure. Assuming we hold firm with our language, I feel
the execution of this letter is appropriate. Should Further discussion with TCF be necessary, we can
chose to do so with the City Attorney.
cc: Tom Bray
