SPACE ABOVE THIS LINE FOR RECORDER'S USE FIRST AMENDMENT TO MEMORANDUM OF DEVELOPMENT AGREEMENT The parties to this First Amendment to Memorandum of Development Agreement ( "Amendment ") are the Economic Development Authority of the City of Little Canada, Minnesota ( "EDA ") and The Villas at Little Canada LLC, a Minnesota limited liability company ( "Developer "). This Amendment is dated as of July 16, 2004. The EDA and Developer entered into a Development Agreement dated December 9, 2003 (the "Development Agreement "). To provide record notice of the Development Agreement the EDA and Developer executed a Memorandum of Development Agreement, dated as of December 9, 2003 (the "Memorandum "), which was recorded in the office of the County Recorder of Ramsey County, Minnesota on January 14, 2004 as Document No. 3719504, and in the office of the Registrar of Titles of Ramsey County, Minnesota on , 2004 as Document No. The EDA and Developer have entered into a First Amendment of Development Agreement dated of even date herewith which amends the legal description of the property subject to the Development Agreement, and the EDA and Developer wish to make conforming changes to the Memorandum. The legal description set forth on Exhibit A to the Memorandum is amended in its entirety to read as set forth on Exhibit A attached hereto. Any property not described on Exhibit A hereto is released from the Development Agreement.
