Buyer is relying on Seller's affirmative representations. The price offered by Buyer in this <br />Purchase Agreement reflects that Buyer is relying upon Seller's affirmative representations that <br />the utilities are available as indicated by Seller above. <br />(f) Seller's warranties and representations contained in this agreement, shall survive <br />the delivery of the Deed, provided that any notice of a defect or claim of breach of <br />warranty must be in writing. Any such notice with respect to matters referred to herein, <br />above must be given by Buyer to Seller within one year of the Date of Closing or be <br />deemed waived. <br />13. Buyer's Warranties and Representations. <br />(a) Buyer acknowledges that Seller has advised Buyer that at least a portion of the site <br />has been filled. As a result, Buyer shall bear any and all responsibility associated with any <br />soil corrections or environmental remediation that may be necessary. <br />(b) Ramsey - Washington Metro Watershed District shall include at least one <br />representative designated by the City to serve on Ramsey- Washington Metro Watershed <br />District's building committee. <br />(c) Ramsey - Washington Metro Watershed District provides on -going educational <br />programs that promote environmental stewardship and sensitivity. Ramsey - Washington <br />Metro Watershed District may incorporate site design characteristics of the property into <br />its educational programs as well as any opportunities arising from the property's proximity <br />to Gervais Mill Park. <br />(d) Ramsey - Washington Metro Watershed District acknowledges that the property in <br />question is zoned Public "P" by the Little Canada Zoning Code. In the event that Ramsey - <br />Washington Metro Watershed District ceases to exist or no longer occupies the property <br />for any reason, the re -use of the site shall be consistent with Little Canada's zoning <br />requirements. <br />(e) The parking of the Ramsey - Washington Metro Watershed District vehicles may occur <br />in designated parking spaces as required by Little Canada Zoning Ordinances and the <br />approved site plan. It is further understood that Ramsey - Washington Metro Watershed <br />shall endeavor to screen overnight parking areas from view of the public right -of -way to <br />the maximum extent possible. <br />(f) Other than the representations made by Seller herein, Buyer acknowledges the <br />property is being sold "AS IS" with no express or implied representations or warranties by <br />Seller as to physical conditions or fitness for any particular purpose. <br />(g) Buyer's warranties and representations contained in this agreement, shall survive <br />the delivery of the Deed, provided that any notice of a defect or claim of breach of <br />warranty must be in writing.
