Buyer is relying on Seller's affirmative representations. The price offered by Buyer in this Purchase Agreement reflects that Buyer is relying upon Seller's affirmative representations that the utilities are available as indicated by Seller above. (f) Seller's warranties and representations contained in this agreement, shall survive the delivery of the Deed, provided that any notice of a defect or claim of breach of warranty must be in writing. Any such notice with respect to matters referred to herein, above must be given by Buyer to Seller within one year of the Date of Closing or be deemed waived. 13. Buyer's Warranties and Representations. (a) Buyer acknowledges that Seller has advised Buyer that at least a portion of the site has been filled. As a result, Buyer shall bear any and all responsibility associated with any soil corrections or environmental remediation that may be necessary. (b) Ramsey - Washington Metro Watershed District shall include at least one representative designated by the City to serve on Ramsey- Washington Metro Watershed District's building committee. (c) Ramsey - Washington Metro Watershed District provides on -going educational programs that promote environmental stewardship and sensitivity. Ramsey - Washington Metro Watershed District may incorporate site design characteristics of the property into its educational programs as well as any opportunities arising from the property's proximity to Gervais Mill Park. (d) Ramsey - Washington Metro Watershed District acknowledges that the property in question is zoned Public "P" by the Little Canada Zoning Code. In the event that Ramsey - Washington Metro Watershed District ceases to exist or no longer occupies the property for any reason, the re -use of the site shall be consistent with Little Canada's zoning requirements. (e) The parking of the Ramsey - Washington Metro Watershed District vehicles may occur in designated parking spaces as required by Little Canada Zoning Ordinances and the approved site plan. It is further understood that Ramsey - Washington Metro Watershed shall endeavor to screen overnight parking areas from view of the public right -of -way to the maximum extent possible. (f) Other than the representations made by Seller herein, Buyer acknowledges the property is being sold "AS IS" with no express or implied representations or warranties by Seller as to physical conditions or fitness for any particular purpose. (g) Buyer's warranties and representations contained in this agreement, shall survive the delivery of the Deed, provided that any notice of a defect or claim of breach of warranty must be in writing.
