conduct the environmental assessment. If the environmental assessment reveals <br />environmental conditions which are in violation of the law, Buyer shall promptly deliver a <br />copy of the report to Seller and Buyer shall assign all rights in and to the environmental <br />assessment to Seller. <br />(e) Buyer's obligation to close under this Purchase Agreement is contingent upon Buyer <br />verifying, at Buyer's expense, without disturbing any soil, that utilities are available as <br />represented by Seller. Buyer's good faith investigation to satisfy this contingency is <br />limited to: (1) physical inspection of the property; (ii) inspection of available, local public <br />records; or (iii) utilization of Gopher State One Call [Metro 612 - 454 -0002; Outstate [- <br />800 -252 - 1166]. Buyer's investigation shall be completed by December 1, 2004 or this <br />contingency shall be deemed waived. <br />21. Seller's Contingencies. Seller's obligation to sell the property is contingent upon <br />the Deed restriction as noted in paragraph 7(a)(vi) herein, and the following: <br />(a) A neighborhood meeting shall be held by the Buyer after Buyer has prepared a <br />concept plan of sufficient detail that incorporates a site survey, building layout, parking <br />layout, expected facade treatments with examples, anticipated "environmentally friendly" <br />design features, and landscaping concepts. The purpose of this meeting shall be to inform <br />the public of this project and to generate input regarding its acceptability, including any <br />potential re -use of the property should Buyer no longer occupy the premises. Said <br />meeting shall be hosted by the Little Canada Parks & Recreation Commission. <br />(b) Buyer shall prepare and submit plans to Seller. Said plans shall be the subject of a <br />second neighborhood meeting. Said meeting shall be hosted by the Little Canada Parks & <br />Recreation Commission. Plans shall include the construction of a one or two -story <br />building with the footprint not to exceed approximately 6,000 square feet and said <br />building will be approximately 85% office /educational area and 15% warehouse /storage <br />area. The exterior building appearance shall be of a quality meeting or exceeding Little <br />Canada City Hall. <br />(c) The design of the building shall be subject to architectural review by the City of Little <br />Canada. The final design shall be approved by the City Council of Little Canada prior to <br />bidding the project. Said approval shall not be unreasonably withheld as long as the final <br />design is consistent with the original concept that was discussed at the above reference <br />meetings. <br />(d) Buyer shall not seek any variances from Little Canada's zoning ordinances to <br />facilitate the construction of the project contemplated by this Agreement. It is the <br />intention of the parties that the project shall meet the design, parking and other building <br />and zoning requirements currently in place by the City of Little Canada. <br />(e) Buyer shall have sought and obtained, at its own expense, a Conditional Use Permit <br />and a Building Permit for the building to be constructed. <br />9 <br />
