April 16, 2004 <br />Mr. Cliff Aichinger <br />RWMWD <br />2346 Helen Street <br />North St. Paul, MN 55109 <br />RE: Letter of Understanding Between Ramsey/Washington Metro Watershed District & City <br />of Little Canada <br />Dear Mr. Aichinger: <br />Pursuant to our recent discussions, I am outlining the key points of understanding between our <br />organizations that will serve to govern the process involving the City's sale of property on Noel <br />Drive across from City Hall. These provisions have been reviewed and approved by the City <br />Council. They are as follows: <br />• A public hearing shall be held by the City after RWMWD has prepared a concept plan of <br />sufficient detail that incorporates a site survey, building layout, parking layout, expected <br />facade treatments with examples, anticipated "environmentally friendly" design features, <br />and landscaping concepts. The purpose of this hearing shall be to inform the public of this <br />possible project and to generate input regarding its acceptability, including any potential <br />re -use of the property should RWMWD no longer occupy the premises. <br />• Subject to the outcome of the public hearing identified in the first bullet, the City will sell <br />the parcel located across from City Hall of approximately 39,600 square feet and further <br />identified by Ramsey County property identification number 05- 29 -22 -34 -0017. The <br />details of the sale shall be documented via a purchase agreement to address standard <br />transactional details as well as the provisions of this letter of understanding. <br />• The price of the parcel to be sold shall be the value assigned by a certified real estate <br />appraiser to be selected at the sole discretion of the City. The appraiser shall consider the <br />provisions of this Letter of Understanding in determining the market value of the property. <br />• RWMWD shall be responsible for any broker or real estate commissions payable, if any, in <br />addition to the purchase price designated by appraisal. <br />• RWMWD will construct up to 6,000 square feet on the parcel in question. <br />• The building utilization will be approximately 5,000 square feet of office /educational area <br />and 1,000 square feet of warehouse /storage area. <br />• The building may be constructed on two levels, and the exterior appearance of the building <br />shall be of a quality meeting or exceeding Little Canada City Hall. <br />2 <br />
