6. Development Agreements. The City acknowledges that because the <br />Redevelopment Projects contain multiple components, the Redeveloper will be required <br />to form various ownership entities. The City agrees that separate Development <br />Agreements may be required for the various Redevelopment Project components. It is <br />expected the final Development Agreements will address, but may not be limited to, the <br />following matters, as applicable, as well as other items the parties acknowledge may be <br />material to the Projects, all on terms and conditions mutually agreeable to the parties: <br />(a) Public assistance package including any tax increment financing ( "TIF "), <br />grants or loans. <br />(b) Construction of the minimum improvements. <br />(c) Transfer of ownership of the Redevelopment Properties to the <br />Redeveloper. <br />(d) Redeveloper's financing plan for each Redevelopment Project. <br />(e) Environmental assessments, wetland delineation (if any), property <br />surveys, and other reports or studies including resolution of issues identified as a result of <br />these studies. <br />(f) An affordability covenant for the Rental Housing Component which is <br />currently anticipated to be 20% of the units at 50% percent of median income. <br />(g) Governmental approvals and permits. <br />(h) Landscaping, public infrastructure and improvements, and erosion control. <br />(i) Recovery /imposition of City costs and fees. <br />(j) Provisions of sureties for landscaping, soil and water control, and public <br />improvement damage replacement. <br />(k) Terms of default and remedies for same. <br />(1) <br />Redeveloper contingencies to closing. <br />(m) Redeveloper repayment guaranty relating to City expenses in connection <br />with acquisition of the Southeast Property. <br />7. Public Assistance. To achieve the Redevelopment Projects, it is <br />anticipated that the final Development Agreements will contain provisions addressing a <br />variety of forms of public financial assistance that may be necessary in order to <br />accomplish the projects as set forth below. The City is willing to consider all available <br />TIF resources to the extent the sources are available and the development demonstrates <br />3 <br />
